    در این مقاله، محدودیت های طرفین قرارداد در انتخاب قانون حاکم، با مطالعه تطبیقی در نظام های حقوقی و کنوانسیون های بین المللی و منطقه ای و همچنین، حقوق ایران بررسی شده است. هدف پژوهش حاضر، تعیین محدودیت ها و استثناهای انتخاب قانون قابل اجرا پس از اثبات پذیرش قانون حاکمیت اراده در نظام حقوقی ایران است. این نتیجه به دست آمد که طرفین نمی توانند هر آنچه را که می خواهند، بر قرارداد حاکم کنند.
    ازاین رو انتخاب قانون قرارداد، قواعد حقوقی غیرملی به ویژه عرف های نانوشته و اصول کلی حقوقی و قانون غیرمعین به عنوان قانون حاکم، صحیح نیست. در مقابل، انتخاب پیمان های بین المللی و منطقه ای، قانون غیرمرتبط با قرارداد، تغییر قانون منتخب و همچنین، تعیین قوانین متعدد درصورتی که مغایر یکدیگر نباشند، مجاز شمرده می شود. افزون بر محدودیت های دو طرف از حیث انتخاب، حکومت قانون منتخب بر رابطه قراردادی نیز با محدودیت هایی روبه روست، به طوری که قانون انتخاب شده طرفین قرارداد، شامل شکل قرارداد، آیین دادرسی و اهلیت دو طرف نمی شود. به علاوه، قانون قابل اعمال نباید با نظم عمومی و قواعد آمره کشور مقر دادگاه و کشور دارای ارتباط نزدیک با قرارداد، مغایرت داشته باشد.

    ارزیابی عملکرد شورای امنیت سازمان ملل متحد و آن هم در قالب نظارت، از جمله مسائل مناقشه برانگیز در حقوق بین الملل است. در این راستا، عده ای از اندیشمندان حقوق بین الملل، معتقد هستند که مرجع مذکور علی رغم وظایف مهمه، دارای محدودیت های شکلی و ماهوی بوده و قانونا باید جوابگوی عملکردش باشد. به متابعت از این دیدگاه، نظارت پذیری شورای امنیت را به صورت درونی و برونی ترسیم و مشخص ساخته ایم که این امر، در قالب خود کنترلی و نظارت قضایی و شبه قضایی و اداری، محقق می گردد. در تشریح ابعاد قضیه، روشن نموده ایم که علاوه بر ساختار تصمیم گیری شورای امنیت، چگونه، مجمع عمومی، محاکم بین المللی بالاخص دیوان بین المللی دادگستری و محاکم منطقه ای و حتی داخلی و چه بسا دولت ها، می توانند با اتکاء به موازین حقوق بین الملل، شورای امنیت را به چالش کشیده و تصمیمات آن را مورد بازبینی عینی قرار دهند. علاوه آنکه، این پژوهش با ذکر مصادیق، نشان می دهد که در دهه های اخیر و در پرتو سنجه های حقوق بشر، موضوع پاسخگویی شورای امنیت بویژه در خصوص صدور قطعنامه های تحریمی، عملا در آراء بعضی از مراجع قضایی متجلی گردیده و نظارت پذیری البته به صورت غیر مستقیم، به منصه ظهور رسیده است.

    منابع ژنتیکی، جزئی از تنوع زیستی و ماده اولیه صنعت فناوری زیستی است. درعین حال، پیشرفت سریع و انکارناپذیر این فناوری با بهره گیری از ذخایر ژنی زیست کره، چالش های فرامرزی بسیاری را برای جامعه بین المللی به وجود آورده است که لزوما با تدبیر به موقع حوزه های علوم مرتبط نظیر اخلاق، سیاست، اقتصاد و حقوق همراه نبوده است. این عدم همپایی بین سرعت پیشرفت علم و مدیریت آثار آن، به ویژه در نظام حقوق بین الملل با توجه به ساختار غیرمتمرکز جامعه بین المللی و به دلیل ماهیت متکثر آن، نمود بیشتری داشته است. بااین همه، در همین مرحله از توسعه حقوق بین الملل و به منظور پاسخ گویی حقوقی به مسائل نوپا و نوظهوری که پیشرفت این صنعت به وجود آورده است، می توان با بهره گیری از برخی اصول حقوقی در این نظام، مسائل زیربنایی ازجمله «تعیین جایگاه حقوقی منابع ژنتیکی» را تبیین کرده و در جهت رفع دیگر چالش های پیش روی جامعه بین المللی، گام های اولیه را برداشت.

    کنوانسیون اروپایی حقوق بشر، معاهده پیشرو در حوزه حقوق بشر بوده و نقش بسیار مهمی در توسعه و تحول حقوق بین الملل بشر داشته است. این کنوانسیون از زمان لازم الاجراشدن در سال 1953 تا کنون تغییرات زیادی به خود دیده است که ازجمله مهم ترین آن می توان به افزایش شمار کشورهای طرف کنوانسیون و همچنین تشکیل اتحادیه اروپا و سایر نهادهای اروپایی اشاره کرد. این تحولات، لزوم تطابق کنوانسیون با نیازها و ضرورت های روز را دوچندان می کند. بر این اساس، تا کنون پروتکل های زیادی به کنوانسیون منضم شده است. یکی از آخرین پروتکل های منضم به کنوانسیون، پروتکل شماره 15 است که در مه 2013 پذیرفته شد و در فرایند تصویب قرار دارد و علاوه بر انجام برخی اصلاحات شکلی، اصل فرعیت و دکترین حاشیه صلاحدید را به مقدمه کنوانسیون اضافه کرده است. در این مقاله، نقش پروتکل شماره 15 در توسعه و تحول نظام اروپایی حقوق بشر و تغییرات شکلی و ماهوی که در کنوانسیون اروپایی حقوق بشر ایجاد کرده است، بررسی می شود.

    دکترین انحراف، دکترین مشهوری در حقوق دریایی و بیمه دریایی است. انحراف متصدی حمل از مسیر حمل برحسب آنکه موجه یا ناموجه باشد، آثار متفاوتی دارد. انحراف موجه سبب معافیت متصدی حمل از مسئولیت و انحراف ناموجه سبب تشدید مسئولیت او می شود. در بیمه دریایی هم، انحراف ناموجه از مسیر، سبب معافیت بیمه گر از جبران خسارت می شود. کنوانسیون های بین المللی حمل و نقل، اغلب آثار انحراف موجه را بررسی کرده اند اما درمورد آثار انحراف ناموجه ساکت اند. در سکوت کنوانسیون ها و قوانین داخلی، بر سر آثار انحراف ناموجه، اختلاف ایجاد شده است. در کامن لا، انحراف ناموجه سبب تشدید مسئولیت متصدی حمل می شود و برعکس، در حقوق فرانسه، انحراف ناموجه، اثری در تشدید مسئولیت ندارد. در سکوت قانون دریایی ایران، به نظر می رسد، گرایش موجود در کامن لا، هم از آن جهت که بیان کننده عرف کلی حقوق دریایی است و هم از این بابت که با سابقه فقهی مسئولیت امین تناسب بیشتری دارد، قابل پذیرش است. در این مقاله، آثار انحراف موجه و ناموجه در حقوق ایران، انگلیس، فرانسه و امریکا و همچنین کنوانسیون های بین المللی حمل و نقل (مقررات لاهه، هامبورگ و روتردام) و درعین حال، طی دو بخش، شروط مربوط به آزادی انحراف و اثر انحراف در بیمه دریایی بررسی شده است.

    روبات های نظامی یکی از جدید ترین انواع جنگ افزارهاست که در سال های اخیر به آهستگی جایگاه قابل توجهی در ارتش کشورهای قدرتمند و حتی برخی از کشورهای جهان سوم یافته است. چالش اصلی در برابر این روبات ها، مسئله مطابقت این فناوری با قواعد حقوق بشردوستانه بین المللی است. با ورود روبات های نظامی به این عرصه، به علت برخورداری این نوع تسلیحات از درجه ای از استقلال و هوش مصنوعی، این نگرانی ایجاد می شود که آیا روبات ها به تنهایی (بدون حضور انسان در میدان جنگ) می توانند هدف نظامی را از غیرنظامی تفکیک و از سوی دیگر، اصل تناسب را در ارتباط با مزیت نظامی و میزان تلفات در یک حمله رعایت کنند. همچنین، مسئولیت ناشی از اقدامات روبات های نظامی نیز باید بررسی شود. در مقاله حاضر، ضمن بررسی اصول پیش گفته، میزان مطابقت روبات های نظامی با این اصول بررسی شده است.

    با تحول حقوق بین الملل و شکل گیری نظام حقوقی برای حمایت بین المللی از میراث فرهنگی از نیمه دوم قرن بیستم در چارچوب یونسکو، سازوکارهای حل وفصل اختلافات بین المللی برای این حوزه نیز پیش بینی شد و به مرور زمان تحول یافت.
    با توجه به روند تغییر ماهیت اختلافات بین المللی، امروزه اختلافات مربوط به میراث فرهنگی مانند گذشته، فقط شامل صلاحیت دادگاه های ملی یا چارچوب پیش بینی شده در کنوانسیون موسسه یکنواخت سازی حقوق بین الملل خصوصی رم 1995 نیست. از سوی دیگر، ماهیت چندوجهی و مختلط میراث فرهنگی و ارتباط آن با موضوعات مختلفی در حقوق بین الملل از قبیل حقوق کیفری، حقوق تجارت، حقوق سرمایه گذاری و حقوق بشر، روند حل وفصل اختلافات در این حوزه را تخصصی و پیچیده کرده است. به همین جهت برای تقویت روند تکوین و تکامل حقوق بین الملل میراث فرهنگی، لازم است ساختارها و رویه های قضایی در حمایت از میراث فرهنگی تقویت شود. در همین راستا لازم است جامعه جهانی به بررسی امکان تاسیس یک دیوان تخصصی بین المللی همانند سایر حوزه های حقوق بین الملل توجه کند.

    یکی از موضوعاتی که امروزه در مبحث تحریم های اقتصادی، توجه حقوق دانان را به خود جلب کرده، مسئله مرزهای مشروعیت این اقدام است. در این قالب، مسئله «تناسب» در اتخاذ تحریم های اقتصادی، نکته ای کلیدی به نظر می رسد. اصل تناسب به عنوان یک اصل کلی حقوقی می تواند در تعیین قانونی بودن یا نبودن تحریم های حقوقی، نقش مهمی بازی کند. بااین حال، ابهامات این مفهوم، همچنان زمینه را برای سوء استفاده دولت های زورمند جامعه جهانی باز گذاشته است. این مقاله با بررسی این دو مفهوم می کوشد تا تصویری روشن و به روز در خصوص این بعد از تحریم های اقتصادی ارائه دهد و درعین حال، تاکیدی برای قابلیت اجرایی این اصل در تحریم های جمهوری اسلامی داشته باشد. در این مقاله، با تکیه بر آرای قضایی و رویه دولت ها، تلاش شده است تا به دور از رویکردهای سیاسی، تصویری حقوقی از موضوع ارائه شود.

    برای رسیدگی به اختلافات ناشی از روابط خصوصی بین المللی، مرجع قضایی بین المللی وجود ندارد و این دعاوی در صلاحیت دادگاه های داخلی کشورها یا در صلاحیت داور مورد توافق طرفین است. قواعد تعارض دادگاه ها مانند قواعد دیگر بین الملل خصوصی، جزو حقوق داخلی کشورها محسوب می شود و عمدتا از آیین دادرسی مدنی متداول در حقوق داخلی اقتباس شده است. ازاین رو، بین قواعد آیین دادرسی کشورهای مختلف، تنوع و پراکندگی زیادی در مقام رسیدگی به یک دعوای معین وجود دارد. باوجود اختلافات گسترده درباره مبانی و موانع اعمال صلاحیت، صلاحیت مبتنی بر محل اقامت خوانده و نیز صلاحیت مبتنی بر رضایت در بیشتر نظام های حقوقی تایید شده است.

    قراردادهای بیع اسنادی که بیع «سیف» و بیع «فوب» از نمونه های برجسته آن است، دو تعهد جداگانه و مستقل از هم را بر دوش فروشنده می نهد: تعهد به تسلیم کالای منطبق با قرارداد و تعهد به تسلیم اسناد منطبق با قرارداد. ایفای هیچ یک از این دو تعهد، به معنای ایفای تعهد دیگر نیست، چندان که نقض هریک از این دو تعهد نیز، حقوق و ضمانت اجراهای خاص نقض آن تعهد را در اختیار متعهدله (خریدار) می گذارد. آن هنگام که در چارچوب قراردادهای بیع اسنادی همچون «سیف» و «فوب» از اعتبار اسنادی به عنوان روش پرداخت ثمن استفاده می شود، فروشنده به منظور امکان دریافت وجه اعتبار باید موبه مو از مفاد و شروط اعتبار تبعیت کند؛ الزامی که از آن با نام «اصل لزوم انطباق دقیق ارائه» یاد می شود. لازمه اعمال دکترین انطباق دقیق ارائه در حقوق اعتبارات اسنادی آن است که حتی عدم انطباق ها و مغایرت های جزئی نیز به بانک اجازه می دهد، بلکه بانک را نسبت به متقاضی اعتبار مکلف می کند، ارائه اسناد حمل را نپذیرد و مبلغ اعتبار را نپردازد. سوال آن است که آیا دکترین انطباق دقیق ارائه اسناد حمل، آن چنان که در حقوق اعتبارات اسنادی و در ارائه ای که به بانک صورت می گیرد، جاری است در قرارداد بیع نیز قابلیت اعمال دارد. چنانچه فروشنده، اسناد منطبق با اعتبار را به بانک ارائه نکند، و مورد یا موارد مغایرت و ناهمخوانی موجود در اسناد را در موعد مقرر رفع نکند، آیا می توان عمل فروشنده را از لحاظ قرارداد پایه بیع، علاوه بر نقض اعتبار اسنادی، نقض اساسی قرارداد بیع به مفهوم مقرر در کنوانسیون بیع بین المللی کالا (وین، 1980) نیز توصیف کرد، و ضمانت اجرای مربوط به نقض بنیادین را به خریدار اعطا کرد.

    حق بر حریم خصوصی و حفظ اطلاعات فردی و خانوادگی، یکی از اصول و آزادی های بنیادینی است که همواره در اسناد بین المللی متعدد حقوق بشری، ازجمله کنوانسیون اروپایی حقوق بشر به رسمیت شناخته شده است. کنوانسیون در ماده 8 ابتدا به معرفی حقوق مربوط به حریم خصوصی پرداخته و در بند دوم، امکان محدودکردن آن حقوق را تحت شرایطی پیش بینی کرده است.
    مقاله حاضر در نظر دارد عملکرد دیوان اروپایی حقوق بشر را در مواجهه با ادعاهای نقض حریم خصوصی بر اساس کنوانسیون مزبور و سایر اصول حقوق بین الملل بشر، نقد و بررسی کند و یکپارچگی، ثبات، قطعیت و عادلانه بودن رویه دیوان را به محک گذارد.
    با بررسی رویه دیوان، مشخص می شود که به طور کلی، به رغم انتقادهای وارد بر عملکرد این نهاد، دیوان توانسته است رویه ای ثابت و به دور از تزلزل از خود بر جای گذارد که ضمن اینکه مفاد ماده 8 کنوانسیون را اعمال و پاسبانی کرده است، موفق شده است به جهات مختلف، آن را تعدیل کرده و توسعه بخشد.

    In this article, the limitations of the parties to a contract in choosing the governing law have been investigated by conducting a comparative analysis on civilized systems and regional and international conventions. The purpose of the current article is to determine the limitations and exclusions of applicable law after proving the law of autonomy of will in Iranian legal system. However, we are convinced that parties to a contract cannot stipulate whatever they want in the contract. Therefore, choosing the governing law of the contract, non-national legal rules especially unwritten customs, general principles of law and indefinite law as the applicable law for contract is incorrect. In contrast, choosing international and regional contracts, unrelated law to the contract, changing the selected law and also determining various laws, provided that do not contradict one another, are permitted. In addition to limitations of parties in terms of choosing the law, governing the chosen law on contractual relationship faces with some exclusions in the way that the chosen law of parties does not contain laws of procedure, capacity and form of contract. Moreover, applicable law should not contrast with public order and binding rules of the forum State or the country that has the close relationship with contract.

    Evaluating the UN Security Council’s performance regarding monitoring is one of the controversial issues in International Law. Regarding this, some international legal scholars believe that in addition to its vital tasks and mandates, the UN Security Council has procedural and substantive limitations and should be legally responsible for its decisions. According to this point of view, it is intended to indicate how UN Security Council’s decisions could be internally and externally monitored through self–control, judicial, quasi-judicial and administrative monitoring. To explain the aspects of this monitoring, it is explained how the UN General Assembly, international tribunals and particularly the International Court of Justice, regional and even national courts and perhaps states may challenge and review the UN Security Council’s decisions in accordance with international law. Furthermore, it is discussed how the UN Security Council’s accountability mainly sanction resolutions in recent decades are reflected in light of human rights standards in the decisions of some adjudicative bodies, and that the indirect control over Security Council decisions has been realized.

    The technology of purposeful manipulation of biological organisms is introduced by biotechnology industry in twenty-first century. This industry in making the genetic modification has to access to its raw materials, i.e. genetic resources (either human resources or non-human ones). Without such an access, biotechnologist cannot acquire huge benefits of commercialization of Genetically Modified Organisms (GMOs). While the most biotechnology companies are incorporated or domiciled in developed countries, the most diversity in genetic resources can be found in developing countries which are deprived of this technology. Thus companies in North Countries eagerly tend to access South Countries’ genetic diversity, while the latter tries to conserve their right to benefit from biotechnology developments made up of their recourses. To solve this conflict of interests, International community should emphasize on the necessity of regulating an efficient system of access and benefit sharing systems for biotechnological advances. Establishing such a system, however, preceeds the determination of legal regimes on genetic resources. In this research, it is strived to prove the fact that although human and non-human genetic resources have the same bio function, they should be governed by different legal regimes in international law.

    European Convention on Human Rights is one of the most important conventions in the field of human rights and has a significant role in the development of international human rights law. From its entering into force in 1953, the Convention has faced with many challenges, such as increasing the parties to the Convention of European Council and the establishment of the European Union which requires amending and updating of the convention. Therefore, by now, many protocols have been attached to the convention. The most recent one is protocol no. 15 adopted in May 2013 that is currently in the process of ratification by contracting parties. In addition to some structural amendments, the protocol was added to the preamble of the conventions’ references to both the margin of appreciation and subsidiarity. In this article, the protocol no. 15 and its role in amending the European Human Rights Law are analyzed.

    Deviation doctrine is a famous doctrine in maritime law and marine insurance, according to which geographical deviation of carrier leads to various effects: Justifiable deviation constitutes a cause of exception of liability of the carrier; unjustifiable deviation aggravates the liability of carrier. In marine insurance, unjustifiable deviation discharges the insurer. International conventions, often, contain some provisions on justifiable deviation, but are silent about unjustifiable deviation. There are, thus, some controversies about the effects of unjustifiable deviation in national laws. In common law, such deviation aggravates the liability of carrier. In French law, it does not affect the liability of carrier per se. It seems that the common law approach is more acceptable in Iranian law as, on the one hand, it constitutes a lex maritima and is, on the other hand, similar to the Sharia position regarding the liability of bailees. In this article, the effects of justifiable and unjustifiable deviation have been examined in international conventions, Iranian, English, French and American laws. Besides, this article reviews liberty clauses and the effects of deviation in marine insurance under two separate sections.

    Military robots have been used for monitoring and evaluation of armed conflict situations. However, regarding debates such as the fight against terrorism and targeted killings, the developed and developing States have been drawn to semi-autonomous and fully autonomous weapon system. The most significant challenge for these technologies is to comply with the International Humanitarian Law. There are important rules on weapon and the targets in Law of Armed Conflicts which should be respected by soldiers or commanders. Now the question is how military robots could perform all the rules such as proportionality, responsibility and distinction in the present article, the aforementioned principles and the compliance of military robots with those principles are discussed.

    With the evolution of international law and formation of legal system for international protection of cultural heritage from the second half of the twentieth century in the framework of UNESCO, the mechanisms for international dispute settlement were also predicted in this domain and evolved in the long run.
    With regard to the trend of changing nature of international disputes, unlike the past, currently the disputes concerning cultural heritage are not merely limited to the jurisdiction of national courts or a predicted framework in UNIDROIT convention 1995. On the other hand, multidimensional and mixed nature of cultural heritage and its relation to different subjects in international law such as criminal law, trade law, investment law and human rights has made dispute settlement process a specialized and complicated one in this domain.
    Therefore, in order to reinforce the trend of formation and evolution of international law of cultural heritage, it is necessary to reinforce judicial structures and practices for protecting cultural heritage. Hence, like the other domains of international law, it is necessary to consider the possibility of establishing a specialized international court for the international community.

    One of the issues to determine the limits of international sanctions is the “proportionality principle”. In fact, this principle has a key role in presenting a real impression about the legal aspects of unilaterally imposed sanctions. However, this notion has not been properly clarified in the doctrine and the international jurisprudence. The ambiguity has given rise to abuse of rights by powerful States. This article illustrates the principle of proportionality to the readers. In this article, our focus is on the legal sources of this notion: International case law & State practice. The aim is to avoid a political approach and to transmit a pure legal perception to recognize the real limits of States and international organizations to impose unilateral measures on other international community actors.

    There is no international judicial tribunal to deal with disputes derived from international private relationships. These claims are subject to the jurisdiction of domestic courts or agreed parties’ arbitrator. Forum conflict rules, similar to other rules of private international law, are considered as within countries’ domestic law and are mostly derived from the customary civil procedures in domestic law. Therefore, there is over-diversity for litigation of certain cases in civil procedural rules of several countries. Despite wide differences about grounds and barriers of jurisdiction, competence based on defendant domicile and consensual submission have been recognized in most legal systems.

    Documentary Sales Contracts including “CIF” and “FOB” sales as the typical case, impose twofold separate and independent obligations on the sellers: the obligation to the delivery of conforming goods, and obligation to present complying documents. Fulfilling each of these obligations does not discharge the other. Consequently, the breach of each of them confers on the buyer remedies specific to the breached obligation. When the contracting parties use letters of credit in documentary sales contract as a payment method of price, the seller as the beneficiary of the credit must comply strictly with terms and conditions of the letter of credit to pay the amount of credit. This requirement is known as “standard of strict compliance” in letters of credit law. As a result of applying the standard of strict compliance in letters of credit law, the most trivial discrepancy allows, even requires, a bank to reject the documents for non-conformity with the letter of credit. This paper seeks to answer this question whether the standard of strict compliance, as applied in letters of credit, must have effect in sales contract as well. Furthermore, in the event that seller presents non-conforming documents to the bank, and does not cure the non-conformities of documents in proper time, whether his action could be characterized as fundamental breach of sale contract in the sense of this concept in CISG, and consequently, whether we can confer the relevant remedy, i.e. the right of avoidance on the buyer are discussed.

    The Right to privacy and protection of private and family data is a one of the most important rights enshrined in various international human rights documents including the European Convention on Human Rights. First, the Convention defines in its article 8, the right to privacy, and then, provides the possibility of the restriction in certain circumstances. This article intends to consider and to criticize the European Court of Human Rights’ practice about the alleged violation of obligations under article 8 of the Convention and other principles of international human rights law, and finally, to examine integrity, stability, certainity and fairness of Court’s case law. The study of the Court’s case law indicates that it has established a solid jurisprudence which determines its applications and develops its instances in the full implementation of the Convention.
