    تامین مالی پروژه از شایع ترین روش های سرمایه گذاری در هر کشور به حساب می آید. در این ساختار، فقط یک مذاکره و قرارداد وجود ندارد، بلکه مجموعه ای از قراردادهاست که ساختار پروژه را تعیین می کند که از آن به «یکپارچگی قراردادی» معاملات تامین مالی پروژه یاد می شود. حل و فصل اختلافات در قراردادهای تامین مالی پروژه باید در پرتو شناخت مفهوم یکپارچگی قراردادی صورت گیرد، زیرا هرگونه اختلافی می تواند این یکپارچگی را از میان ببرد و درنتیجه برای پروژه بسیار خطرناک باشد. بدین منظور باید روابط میان قراردادهای مختلف بررسی و ساختار سلسله مراتبی قراردادهای اصلی و فرعی مشخص شوند، زیرا اجراکردن یا نکردن ناقص یک قرارداد می تواند اثر نامطلوبی در دیگر قراردادها داشته باشد.

    مناقصه از عمده ترین فعالیت های اقتصادی دولت محسوب می شود و بخش عمده ای از بودجه عمومی را به خود اختصاص می دهد، بنابراین برگزاری مناقصه سالم نقش بسیاری در افزایش بهره وری و هزینه کرد مطلوب بودجه عمومی خواهد داشت. تبیین و تشریح الزامات و اصول قانون برگزاری مناقصات و توصیه های «سازمان همکاری و توسعه اقتصادی» درخصوص افزایش سلامت مناقصات، به افزایش سلامت و بهره وری آن کمک بسیاری خواهد کرد. در این مقاله تلاش شده است اصول و الزامات موثر بر افزایش سلامت و جلوگیری از فساد مناقصات بررسی شود. از این رو، اصول و الزامات به دو بخش ایجابی و سلبی تقسیم شده اند؛ اصول مهمی مثل شفافیت، رقابت و نظارت در بخش اول و اصولی مثل ممنوعیت سازش، تشکیل کارتل و منع سوء استفاده از وضعیت اقتصادی مسلط در بخش دوم بررسی شده اند.

    از 150 سال پیش که اکتشاف نفت آغاز شد، تاکنون پیشرفت های چشمگیری در فناوری های اکتشاف رخ داده است، با وجود این، هم اکنون نیز «حفاری» تنها روش تعیین قطعی وجود یا نبود مخازن هیدروکربنی در سازند است. با توجه به ماهیت حفاری و نبود ‏اطلاعات کافی در حوزه مورد اکتشاف، ریسک های پنهانی در آن نهفته است. از جمله آن ها گم گشتگی گردشی گل حفاری که به سیلان و فوران منجر می شود. ‏مدیریت ریسک در قراردادهای اکتشافی دریایی از اهمیت ویژه ای برخوردار است. از مهم ترین روش های مدیریت ریسک «بیمه» است. در ‏مقاله حاضر ضمن بررسی تخصیص ریسک های سیلان و فوران بین اپراتور و پیمان کار حفاری در سه دسته اصلی قراردادهای حفاری مرسوم در ‏بازار شامل قراردادهای حفاری روزانه، کلید در دست و عمقی، مشخص می گردد که صرفا بخشی از ریسک های موجود در عملیات با توجه به ‏معیارهای بیمه پذیری از طریق بیمه نامه های استاندارد در بازار ماهیت بیمه پذیر دارند. ریسک سیلان در بیمه نامه های اکتشاف و توسعه انرژی ‏استاندارد پوشش داده نمی شود و ریسک فوران با تعریف خارج از کنترل شدن چاه در بیمه نامه های مذکور بیمه پذیر است.‏

    مخازن گاز میعانی به علت برخورداری از میعانات گازی که همراه محصول اصلی میدان (گاز طبیعی) استخراج می شوند، نسبت به سایر انواع مخازن گازی ارزش اقتصادی بالاتری دارند و تولید غیرصیانتی از آن ها لطمات جدی و جبران ناپذیری برای مالک مخزن همراه خواهد داشت. ارزیابی انواع قراردادهای نفتی در بخش بالادستی از منظر ملاحظات تولید صیانتی، می تواند در انتخاب الگوی قراردادی مناسب برای توسعه و بهره برداری از مخازن گاز میعانی راهگشا باشد. در این مطالعه، با استفاده از مدل مفهومی و از طریق بررسی های تطبیقی با ویژگی های موردنیاز الگوهای قراردادی که با توجه به مشخصه های منحصربه فرد این نوع مخازن به دست آمده است، کارایی انواع قراردادهای بالادستی برای تولید صیانتی از مخازن موصوف بررسی می شود. یافته ها نشان می دهند که حفظ اصول و موازین تولید صیانتی از مخازن گاز میعانی، از طریق به کارگیری الگوهای قراردادی مشارکت در تولید و بیع متقابل، با اشکالات عمده ای مواجه است. همچنین، یافته های پژوهش موید آن است که استفاده از الگوی قرارداد طراحی، تهیه تجهیزات و ساخت (موسوم به EPC)، نسبت به الگوی قرارداد جدید نفتی ایران (موسوم به IPC) برتری دارد. نتایج این پژوهش می تواند در انعقاد قراردادهای نفتی در توسعه و تولید از مخازن گاز میعانی کشور نیز بهره برداری شود.

    نفت به منزله کالای راهبردی بستری مناسب برای بروز فساد در کشورهای صاحب نفت و ساختار شرکت های عظیم نفتی پدید می آورد. این تحقیق با بررسی موردی یک پرونده، ابتدا فهرستی از علل و موارد فساد در پروژه های نفت و گاز ارائه می د هد، سپس با تحلیل آرای داوری و قضایی مربوطه، قابلیت ابطال این قراردادها و نقش قانون ماهوی و قانون حاکم بر داوری را بررسی می کند. اقدام به فساد در مقایسه با فساد ماهوی قرارداد، استقلال موافقت نامه داوری و اشتباه در انتخاب مقر داوری بدون دانش کافی در مورد قانون مقر، علاوه بر ناممکن بودن توقف رسیدگی به اعتراض نسبت به رای داوری، از جمله موضوعاتی است که مبحث دوم مقاله به آن می پردازد. در مبحث نهایی راهکارهای پیشنهادی با توجه به قوانین داخلی و بین المللی معرفی می شود.

    طبق قانون تعیین تکلیف چاه های آب فاقد پروانه بهره برداری، پس از بررسی پرونده های شکایات اشخاص علیه دولت در «کمیسیون رسیدگی به امور آب های زیرزمینی»، قاضی عضو این کمیسیون رای لازم را صادر می کند. احکام این کمیسیون طی 20 روز پس از ابلاغ در دیوان عدالت اداری قابل تجدیدنظرند؛ حال آنکه اساسا دیوان به موجب مواد 10 و 63 قانون حاکم بر آن، مرجعی قضایی است که اولا، آرای دیگر مراجع قضایی، موضوع صلاحیت آن قرار نمی گیرد و ثانیا، از آیینی متفاوت برای نظارت بر آرای هیئت ها و کمیسیون ها پیروی می کند. لذا این مقاله درصدد آن است تا بر خلاف مفاد رای وحدت رویه شماره 590 مورخ 5/4/1394 هیئت عمومی دیوان، صلاحیت نظارتی دیوان نسبت به کمیسیون مورد اشاره را صلاحیتی خاص و متفاوت از صلاحیت موضوع بند (2) ماده 10 قانون تشکیلات و آیین دادرسی دیوان و شامل صلاحیت استینافی نسبت به آرای یک مرجع قضایی خاص تعریف کند.

    کمیسیون رسیدگی به امور آب های زیر زمینی در سال 1389 با تصویب قانون ابهام برانگیز تعیین تکلیف چاه های آب فاقد پروانه بهره برداری موقعیت قانونی یافت. ظاهرا فلسفه اساسی از تاسیس مرجع شبه قضایی مزبور، رسیدگی و تعیین تکلیف چاه های آب فاقد پروانه محفوره قبل از سال 1385 بوده، اما در قانون تعیین تکلیف صلاحیت های دیگری نیز بر آن افزوده شده است. روش پژوهش، توصیفی- تحلیلی و روش گردآوری اطلاعات، کتابخانه ای و مطالعه آرای قضایی است. هدف پژوهش شناسایی چالش های قانونی و اجرایی کمیسیون، علل نقض آرای کمیسیون در دیوان عدالت اداری و یافتن راهکارهای مناسب است. نتایج پژوهش نشان می دهد، عمده ترین چالش های کمیسیون به ابهامات قانون تعیین تکلیف در خصوص صلاحیت کمیسیون و مستند و مستدل نبودن آرای کمیسیون برمی گردد. لذا به منظور لزوم رعایت اصول دادرسی عادلانه در خصوص حقوق شهروندان و لزوم جلوگیری از بروز تبعات سیاسی و اجتماعی آب، علاوه بر رفع ابهامات حدود صلاحیت قانونی این مرجع، کمیسیون می بایست در صدور آرا علاوه بر رعایت شرایط قانونی قانون تعیین تکلیف، آرایی متقن و مستدل صادر کند تا موجبات نقض در دیوان و تضییع حقوق شهروندان فراهم نشود.

    Major investments in various projects are the essential needs of any country and project financing is treated as the most common methods of investment. In this method which used in order to construction or operation of a project in special industry, some participants collect their equity through providing financial sources. Because of existence of commercial and political risks, Disagreements in project finance contracts are common and usual. Paying attention to dispute settlement through insert its relevant clause such as recourse to domestic courts or arbitration or another alternative disputes resolutions are other important matters. Arbitration is used widely, because this mechanism has more interests in comparison with other dispute settlement mechanisms especially domestic courts. There are no general negotiations to enter into a single contract, but a series of contracts, which, once entered into, will define the global structure of the project. Therefore, the participants must recognize the concept of transactional unity with respect to the resolution of their disputes and reflect this unity in their future transactions. Any failure to do so would dissolve the transactional unity of the structure and jeopardize the project's viability.

    Public procurement is purchasing a wide variety of goods, services and public works from the private sector by a public authority. Public procurement is a key activity of governments with 10-15% of GDP across the world. An effective Public Procurement system plays a strategic role in preventing fraud, waste, corruption and avoids mismanagement and waste of public funds. Several key principles emerge from discussion about the ways of promoting integrity and having more efficient and healthier public procurement procedures. These principles include transparency, competition, control, equal treatment, using an independent body for complaints settlements, preventing Collusion and Cartel formation, avoiding participation of public entities in winner benefits, avoiding unduly leverage, preventing of dominant abuse, and cancelling the complicated and Non-effective regulations. These principles are discussed in Iran Tenders Regulations and Organization for Economic Co-operation and Development (OECD (guidelines. The current paper is analyzing the principles to help the public authority to achieve integrity and efficiency in public procurement system and reduce corruption.

    Since 150 years ago, when oil exploration began, significant developments ýhave been made in exploration technologies; however, drilling is still the only ýdefinitive method for ýdetermining the presence of the hydrocarbon ýreservoirs in a formation. Due to the nature of the drilling and lack of ýsufficient information in the oil and gas fields, exploration projects carry ýhidden risks. ‟Loss ýcirculation” that can cause‟ Blow out” and ‟Kick” is one of ýthe most risks of Exploration Drillings. Risk ýmanagement in offshore ýexploration contracts is of the utmost importance and one of the ýefficient ýrisk management´s methods is ‟Insurance”. In this article the allocation ýof ýrisks in Day rate, Turnkey, and Footage Drilling Contracts for‟ Blow out” ýand ‟Kick” risks will be examined and ýaccording to the Insurability Criteria ýand Energy Exploration and Development (EED) ýpolicy wording it will be ýshowed that “Kick” as a drilling risk and a kind of “Blow out”- ýdepending on ýthe situation- is not insurable through the standard available ýinsurance ýpolicies in the market.ý

    Gas reservoirs are divided into two conventional and unconventional categories. The conventional gas reservoirs are containing dry, wet and condensate reservoirs. The condensate reservoirs enjoy a higher economic value for the gas condensate extracted with the products from natural gas field. Yet non conservative production from these sorts of reservoirs would make more serious harm, comparing with other conventional reservoirs. Considering the unique specifications of these sorts of reservoirs, we try to analyze the proficiency of conventional upstream contracts for conservative producing from these reservoirs, in this survey. Contracts are divided into two groups. First group are those which are efficient up to the beginning of the production step. Different forms of service contract, such as buyback contract models and EPC contract models are considered as this type. The second category of contracts that provide opportunity for oil companies operating in the production stage too. Iran new oil contracts as well as the production participating contracts are of these sorts.The results show that there is a contrast between safe keeping of principles and measures of conservative production from condensate gas reservoirs, and participant production contracts and buyback contracts.

    As a strategic commodity, oil and gas can pave the way for corrupt measures in oil projects.
    This study conducts a case study to survey consequences of corrupt measures on a gas contract. The study begins by introducing a list of major sources of corruptions. It then analyses the related arbitral awards and court decisions to examine the validity of the main contract, the role of the substantive law and the law governing the arbitration. An attempt to bribery in comparison with a contract concluded by bribery, independence of the arbitration agreement, wrongful selection of the seat of arbitration, and impossibility of discontinuance of the proceedings, are among the issues discussed in section two of the paper.
    The study concludes with a list of strategies to battle corrupt measures in oil projects with a view to the local and international laws and regulations.

    According to the Act of determining the wells without license, after reviewing of individuals’ complaints against the state in “Commission of matters relating to groundwater”, the sentence will be issued by a judge, a member of the Commission. The sentences issued by this Commission are reviewed by the Administrative Justice Court within 20 days after the notification. While, according to Articles 10 and 63 of AJC Act, this court is basically a judicial authority that firstly, the sentences of other courts are not within the competence of it; and secondly, it follows a different order for reviewing the commissions. Therefore, this paper seeks to define the supervisory jurisdiction of AJC on aforesaid Commission is a specific jurisdiction and it varies from AJC’ jurisdiction under paragraph 2 of Article 10 of the AJC Organization and Procedure Act. It includes the appellate jurisdiction of AJC against the sentences of a particular judicial authority.

    Commission on the Status of ambiguity in the 2010 law to acting the law of determination for illegal well. Apparently,the basic philosophy of the establishment of quasi-judicial authority shall consider and decide for illegal well before 2006, but in the law of determination for illegal well ,the competencies that others also have been added.The research, analytical and data collection, library and study the judicial decisions.This research aims to identify legal and administrative challenges Commission in violation of the votes of the commission in administrative justice of court and finding appropriate solutions.The results of the study show that the main challenges for the Commission to decide on the legal ambiguity and lack of competence of the Commission and the soundness of the votes of the Commission document refers.Therefore, the need to uphold the principles of fair trial in connection with the rights of citizens and the need to avoid social and political consequences of water,in addition to removing ambiguity about the jurisdiction of this authority,the Commission shall issue a vote in addition to complying with the legal requirements of the law to determine,consistent layout the administrative justice of Court reasoned issued to breach and violation of the rights of not citizens.
