    مالکیت منابع نفتی همواره یکی از موضوعات چالشی در بعد ملی و بین المللی بوده است. در قانون اساسی ایران، پذیرش مالکیت عمومی بر ذخایر نفتی در مفهوم فقهی «انفال» ، باعث پیدایش این تصور در برخی از مدیران و صاحب نظران صنعت نفت شده است که جز الگوی قراردادی خدماتی، استفاده از دیگر الگوهای قراردادی نفتی، مغایر با انفال بودن مالکیت منابع نفتی است. بررسی دقیق جایگاه مفهوم مالکیت عمومی بر منابع نفتی در کشورهای ونزوئلا، اندونزی، عراق و ایران از یک سو، و ارزیابی ماهیت هر یک از الگو های قراردادی نفتی و پیشینه کاربرد آنها در کشورهای پیش گفته، بیانگر این امر است که برخلاف آنچه در صنعت نفت ایران تصور می شود، عمومی بودن مالکیت منابع نفتی محدودیتی در کاربرد روش قراردادی مشارکتی در حوزه بالادستی صنعت نفت ایجاد نمی کند، بلکه تنها الگوی امتیازی است که با مفهوم مالکیت عمومی بر منابع نفتی در تعارض است.

    بازگشت تحریم های ثانویه آمریکا در هجدهم اردیبهشت ماه 1397، باعث ایجاد نظم حقوقی جدیدی در خصوص فعالیت های سرمایه گذاری و تجاری با ایران، به ویژه در صنعت نفت و گاز شده است. تحریم هایی که هدف آن، افراد و شرکت های غیرآمریکایی بوده و به صورت فراسرزمینی، همه کنشگران و فعالان مرتبط با بازار ایران را هدف قرار می دهد. مقاله پیش رو بر آن است تا با مطالعه تطبیقی تحریم های اقتصادی اعمال شده در فاصله سال های 1389 تا 1392، آثار آنها بر اقتصاد و صنعت نفت و گاز ایران و تحریم های ثانویه اعمال شده از هجدهم اردیبهشت ماه 1397 را در وضعیت کنونی اقتصاد ایران، فرصت ها و تهدیدهای پیش روی صنعت نفت و گاز و اقتصاد ایران در برخورد با اعمال دوباره تحریم های ثانویه آمریکا شناسایی کرده و از این طریق، به ارائه راهکار برای پیشگیری و کاهش آثار منفی تحریم های ثانویه اقتصادی جدید بپردازد.

    وجود بحران آب در کشورمان یک واقعیت است. قانون گذار از سال 1285 به این موضوع پی برده و در جهت استفاده بهینه از منابع آبی کشور و مبارزه با بحران آب در چندین مرحله اقدام به قانون گذاری کرده است. برخی از این قوانین مانند قانون حفظ و حراست منابع آب های زیرزمینی 1345 به نحو مطلوبی از منابع آب کشور صیانت می کند، برعکس برخی قوانین دیگر مانند قانون توزیع عادلانه آب 1361 نه تنها از منابع آب صیانت نمی کند، بلکه برخی از مقررات آن، به ویژه ضمانت اجراهای کیفری آن به دلیل ناکارآمدی زمینه آسیب به منابع آبی کشور را فراهم می آورد. فقدان قوانین کارآمد و ضمانت اجراهای کیفری موثر سبب شده است که عملا افراد با استفاده غیرمجاز از آب های کشور و حفر چاه های غیرمجاز به منابع آبی کشور تعرض کنند. بی تردید صیانت از منابع آبی کشور نیاز فوری به اصلاح قوانین موجود و وضع ضمانت اجراهای کیفری موثر دارد.

    حجم عظیم ذخایر گازی ایران، دسترسی به دریای آزاد و نیاز روزافزون اروپا و آسیا به گاز طبیعی مایع شده (ال. ان. جی) ، این حامل انرژی را در جایگاه ممتازی قرار داده است که دلیل آن، امکان حمل آسان این محصول است. بهره گیری از کشتی های مخصوص حمل این نوع گاز، این امکان را فراهم می سازند که فروشنده گاز با انعقاد قرارداد اجاره این نوع خاص کشتی، محصول خویش را به سراسر دنیا انتقال دهد. در عین حال، تنظیم هماهنگ تعهدات قرارداد اجاره کشتی گاز طبیعی مایع شده (ال. ان. جی) و قرارداد فروش گاز طبیعی مایع شده (ال. ان. جی) ، به دلیل تاثیرگذاری دوسویه این تعهدات در یکدیگر، در عمل بسیار مهم است. در مقاله پیش رو، با تاکید بر روش کتابخانه ای، کوشیده ایم ضمن بیان ویژگی های منحصر به فرد کشتی مخصوص حمل گاز طبیعی مایع شده (ال. ان. جی) ، اجزای حقوقی قرارداد اجاره این کشتی مورد شناسایی قرار گرفته و موارد مشترک تعهدات آن با قرارداد فروش گاز طبیعی مایع شده روشن شود.

    حقوق بین الملل انرژی در روند توسعه و تکامل تدریجی خود با پدیده کثرت سازمانی روبه رو شده است. نبود سازمان جهانی با صلاحیت جامع، واکنشی بودن حقوق انرژی، گوناگونی منابع انرژی و چندبعدی بودن مسئله انرژی، از دلایل پیدایش این کثرت در گستره حقوق بین الملل انرژی است. از این رو، سازمان های بین المللی متعددی در حوزه انرژی ایجاد شده اند که به دلیل دامنه محدود عضوبت، طرح ساختاری نامطلوب و نبود یا کمبود التزام سازمانی، کارایی و انسجام حقوق بین الملل انرژی را با چالش اساسی روبه رو ساخته اند. راهکار آرمان گرایانه برای مدیریت این آثار نامطلوب، ایجاد سازمان جهانی انرژی با صلاحیت گسترده در آینده است که می تواند با الگوبرداری از ساختار برخی سازمان های موجود، از راه اصلاح یا ایجاد، شکل بگیرد. در نبود سازمان جهانی انرژی، راهکار رسیدن به انسجام، تقسیم کار مبتنی بر اولویت سازمان های اقتصادی بر سایر سازمان های بین المللی موجود در این زمینه است.

    ایران با داشتن ذخایر عظیم هیدروکربوری جهان، با گذشت بیش از یک قرن از نخستین استخراج و بهره برداری نفت در قلمرو خود، تا امروز به یک قرارداد جامع که زمینه ساز پیشرفت دانش فنی کشور و سوق دهنده به حداکثرسازی ظرفیت اقتصادی میادین هیدروکربوری باشد، دست نیافته است. در این پژوهش ضمن نگاهی اجمالی به دانش و مدیریت آن، به عنوان شرط لازم انتقال فناوری، قراردادهای نفتی امتیازی، مشارکتی و خدماتی پیش و پس از انقلاب اسلامی، از نگاه مدیریت دانش واکاوی شده اند. نتایج به دست آمده، نشان می دهد قراردادهای امتیازی فارغ از رویکرد دانشی و بدون فراهم کردن بستر تحقق ابعاد و فرایندهای مدیریت دانش تنظیم شده و قراردادهای مشارکتی و خدماتی نیز به اختصار و بدون تامین تضمین های لازم، تنها زمینه ساز کسب دانش بوده و رویکردی به سایر ابعاد مدیریت دانش نداشته است. پس از انقلاب اسلامی، با وجود تحولات و پیشرفت های شگرف دانش در چند دهه اخیر، شروط راهبردی برای تحقق ابعاد مدیریت دانش و توسعه دانش و فناوری در قراردادهای بیع متقابل به روشنی مطرح نشده است و در نسل سوم این قراردادها، بعد اجرایی انتقال فناوری فقط در سطح آموزش نیروهای انسانی، آن هم نه به صورت مطلوب نمود می یابد.

    قاعده لزوم وفای به عهد، اساسی ترین اصل حاکم بر قراردادهای بین المللی است که تحت تاثیر اقدامات دولت ها، با اصول دیگری مانند اصل حاکمیت دایمی دولت بر منابع طبیعی، محدود شده است. رویه قضایی بین المللی نشان می دهد که اگر اعمال حاکمیت در قراردادهای نفتی از طریق مصادره و ملی کردن اموال سرمایه گذار خارجی، به خاتمه قرارداد بیانجامد، دولت باید نسبت به جبران خسارت بر مبنای ارزش دفتری اموال مصادره شده و یا پرداخت غرامت بر اساس حقوق بین الملل اقدام کند؛ به گونه ای که اگر ملی کردن و مصادره توسط حاکمیتی مشروع و با رعایت منافع عموم و بدون هرگونه تبعیض انجام شود، آن گاه لزوم جبران خسارت از سرمایه گذار خارجی مطرح می شود؛ والا باید از پرداخت غرامت بر اساس حقوق بین الملل که افزون بر جبران خسارت، شامل حکم به جبران عدم النفع ناشی از منافع آتیه نیز می شود، سخن راند. البته لازمه حکم به جبران خسارت یا پرداخت غرامت، مشروعیت حکومت است؛ به گونه ای که در فرض شناسایی حاکمیت توسط سایر تابعان حقوق بین الملل، می توان تکلیف به جبران خسارت یا پرداخت غرامت را الزامی دانست.

    صنعت نفت، موثرترین و بزرگترین صنعت فعال در ایران است و بی گمان مهم ترین صنعت کشور به لحاظ اقتصادی، سیاسی و امنیت ملی به شمار می رود. با وجود این، حوزه تامین تجهیزات مورد نیاز این صنعت در بخش بالادستی، همچنان وابستگی قابل توجهی به خارج از کشور دارد. موارد متعددی برای تشریح اهمیت ساخت داخلی تجهیزات نفتی در ایران وجود دارد که کاهش هزینه های صنعت نفت، رشد درون زای اقتصاد ملی و توسعه بازارهای صادراتی، از آن جمله هستند. به علت درهم تنیدگی زیاد تجهیزات مورد استفاده در بخش بالادستی صنعت نفت و اصول طراحی و تولید فناورانه، در این مطالعه از سیاست های کلی علم و فناوری برای ارزیابی نظام حقوقی حاکم بر صنایع مزبور استفاده شده است. روش تحقیق بر پایه مدلی مفهومی است که در چارچوب سیاست های علم و فناوری و با نظرداشت به چالش های صنعت ساخت تجهیزات مذکور، نظام حقوقی ناظر بر این صنایع را بررسی می کند. این مطالعه، نقاط ضعف نظام حقوقی موصوف را برشمرده و پیشنهادهایی در حمایت از صنعت ساخت تجهیزات صنایع بالادستی نفت کشور ارائه می دهد.

    نگاهی اجمالی به عرصه صنعت نفت و گاز نشان می دهد که شرکت های نفتی رفته رفته به سمت همکاری های درازمدت گام برمی دارند. ائتلاف استراتژیک هم یکی از مهم ترین بسترهای اینگونه همکاری ها به شمار می رود. اگرچه به طور پیوسته بر شمار و اهمیت این دست از قراردادها افزوده می شود، مفهوم آن تاکنون با نیازهای صنعت نفت و گاز تطبیق داده نشده و در مقابل، این صنعت از کاربردهای آن، دست کم در کشور ایران، بی بهره مانده است. به فرض انطباق آنها با فعالیت های نفت و گاز، تشخیص ماهیت آن نیز همچنان در هاله ای از ابهام قرار دارد و همواره این پرسش را به ذهن می آورد که آیا ائتلاف استراتژیک، قرارداد خاصی در کنار سایر قراردادهاست یا ساختاری کلی است که انواع گوناگونی از قراردادها، زیرمجموعه آن قرار می گیرد؟ بی گمان با تحلیل ماهیت آن می توان اهداف هم گرایی و کارایی ائتلاف استراتژیک در صنعت نفت و گاز را نیز تبیین کرد. با توجه به مجموع بررسی های انجام شده، می توان پذیرفت که قراردادهای ائتلاف استراتژیک دارای مفهوم و ماهیتی خاص و مجزا از سایر قراردادهاست اما حسب مورد باید بر فعالیت های نفت و گاز تطبیق داده شود.

    Ownership of oil resources has always been one of the challenging issues at national and international levels. The acceptance of public ownership of oil reserves in Constitution of Iran in the jurisprudential concept of “Anfal” has led to the emergence of this notion by some of the oil industry's leaders and experts, that, apart from the service contract model, the use of other contractual models is contrary to the concept of public ownership of oil resources. The precise examination of the status of public ownership of oil resources in the countries of Venezuela, Indonesia, Iraq and Iran on the one hand; and the assessment of the nature of each of petroleum contractual models and their application in these countries shows that, contrary to what is perceived in Iran's oil industry; public ownership of oil resources does not constrain the use of participation method in the upstream sector of oil industry, but concession model is the only model that contradicts the notion of public ownership of oil resources.

    The Reinstatement of US secondary sanctions on 8 May 2018 has led to a new legal environment with regards to the commercial activities and investment in Iran’s oil and gas sector. The economic sanctions which have targeted non-US companies and individuals and have affected all the players related to the Iranian market in an extra-territorial manner. This article looks to study the opportunities and threats Iran’s economy and oil and gas sector are facing through comparing the economic sanctions imposed during 2010-2013 with the reinstatement of US secondary sanctions against Iran on 8 May 2018 and to provide policy advising on how to prevent and mitigate the negative impact of these reinstated secondary sanctions

    The water crisis in Iran is a reality. The Iranian legislator, with a view to an effective fight against this phenomenon, has legislated several laws in this area. Some laws are effective in this regard and compatible with this goal, such as the 1345 Law on the Protection of Groundwater Sources. However, other laws not only are not effective but also undermine this goal, such as law on the equitable distribution of water of 1361. It should be noted that some articles of this law undermine the safeguarding of groundwater. In particular the penal sanctions provided for by this law are not severe, therefore, they are not effective. As a consequence of the inefficiency of these sections the rules of Law 1361 are not respected. For this reason the law of 1361 needs modification and especially the penal feelings envisaged by this law must be replaced by the more severe sections.

    In contrast to other energy sources Iran’s huge gas resources, its accessory to maritime ways and increasing Europe’s and Asia’s need to this energy, due to its comfortable possibility to be transformed, makes LNG for Iran in priority. Exclusive ships for shipping LNG provide this opportunity for seller to enter into charter party contract with owner to take the advantage of this industry. However, setting charter party obligations and purchase agreement because of their interrelation is really important. In this article, the authors in addition to describing exclusive aspects of this kind of ships, study legal components of this agreement and explain overlaps between charter party and purchase agreement.

    The International energy law has faced a challenge of institutional fragmentation in its progressive development and evolution process. Lack of comprehensive energy organization, reacting nature of energy law, variety of energy resources and multidimensional nature of energy issue has led to institutional fragmentation. Due to these reasons, several organizations have been established which caused challenges of efficiency and solidarity of international energy law. Because of limit membership, structure design issue and lack or shortage of commitment, there is not required efficiency and unification among international energy organizations. To manage this undesirable effect, the ideal solution is to establish a world energy organization which could be made by modeling from some international organization through construction or modifying. In lack of the organization, the realistic solution to reach the solidarity is division of labor based on prioritizing of economic organizations on international organizations in this area.

    After a century from the extraction of petroleum in Iran as the owner of big hydrocarbon reserves in the world, the country has not achieved a fully comprehensive and enhancing technical knowledge of oil contract to maximize its economic capacity of the national hydrocarbon fields. In this study, considering the importance of knowledge management as a necessary factor, we have investigated concessions, production sharing and service oil agreements in Iran from the aspect of knowledge management before and after the Islamic revolution. The results show that contracted oil concessions are far from knowledge approach and none of the fields of the knowledge management achievement can be found. Both Production sharing and service oil contracts papered the way only for knowledge acquisition without a letter of guarantee. After the Islamic revolution, in spite of knowledge and technology development in recent decades, there is no strategic condition in buy-back oil contracts for the achievement of the knowledge management dimensions. Technology transfer is only limited to undesirable human resource training in the third generation of these contracts.

    The rule of pacta sunt servanda, as the most fundamental principle governing international treaties, has been limited under the influence of the actions of governments by other principles such as the principle of permanent sovereignty over natural resources. International judicial procedure indicates that if exercising sovereignty in oil contracts through expropriation and nationalization of foreign investor's properties leads to the termination of the contract , the State should provide compensation based on the book value of the seized property or indemnify on the basis of international law, such that if nationalization and expropriation is carried out by a legitimate authority and with observance of public interests and without any discrimination, the necessity of obtaining compensation from the foreign investor will be raised. Otherwise, indemnification based on international law which includes compensation as well as judgment to compensate the loss of benefits from future advantages should be discussed. But it is necessary that the judgment for compensation or indemnification is legitimacy of the State in a way that in the situation of identification of governance by other followers of international law in compensation or indemnification can be deemed necessary.

    The oil industry is the most effective and largest industry in Iran and is without a doubt the most important industry of the country in terms of economic, political and national security. However, the country’s upstream oil industry manufacturing sector is still remarkably dependent to abroad. There are several reasons to convince us that the production of oil industry equipment’s inside the country is consequential, among them; reducing the costs of oil industry, endogenous growth of national economy and expansion of export markets. In the study of science and technology policies as a framework for evaluating the legal system governing the industry in a conceptual model, due to severe entanglement equipment used in the upstream with the principles of design and production technology. Assessment states that the legal system's weaknesses and provide recommendations in support of the country's upstream oil industry equipment.

    A glance at oil and gas industry indicates that oil and gas companies are gradually moving towards long-term collaborations. Strategic alliance is the main instrument for these broad collaborations. Although it is continuously increasing the number and importance of strategic alliances in oil and gas industry, but it has not been adapted with the needs of oil and gas industry and consequently this industry has not been able to use its capabilities, at least in Iran. By assumption of its adaptation with the needs of oil and gas industry, its nature is still vague and this question comes to mind that whether strategic alliance is kind of contract alongside others or is a general structure that involves different kinds of contracts? Certainly with analysis of its nature, we can determine its purpose of convergence and efficiency. According to studies, strategic alliance is a kind of contract that has specific and distinct nature from other contracts.
