    پس از ملی شدن نفت و هم زمان با شناسایی حق کشورها بر ذخایر و منابع زیرزمینی، الزام سهم داخل به عنوان یکی از تعهدات شرکت های بین المللی نفتی در قراردادهای بالادستی نفت و گاز گنجانده شد و مطابق آن، سرمایه گذار خارجی موظف شد در هنگام انجام عملیات نفتی در کشور میزبان از نیروی انسانی، کالاها و خدمات داخلی آن کشور به میزان مقرر در قانون و یا قرارداد استفاده کند. این الزام که امروزه به صورت قاعده ای عرفی در این صنعت شناخته می شود، به روش های مختلفی بر سرمایه گذار خارجی اعمال می شود که برخی از آنها الزامی بوده و برخی دیگر جنبه تشویقی دارند. الزام سهم داخل مصادیق گوناگونی دارد که سیاست گذاران هر کشور، با توجه به شرایط داخلی موجود و نیازهای جامعه، تمامی و یا برخی از مصادیق را در قوانین و قراردادها بیان می کنند و طرف دوم با امضای قرارداد به رعایت آن ملتزم خواهد شد. این الزام که امروزه اکثریت دولت های میزبان در قراردادهای خود به آن اشاره می کنند، نه تنها می تواند برای کشور میزبان دربردارنده منافع فراوانی باشد و سودآوری این قراردادها را دوچندان سازد، بلکه در بسیاری از موارد نیز منافع زیادی برای سرمایه گذاران و پیمانکاران بین المللی نفتی ناشی از آسان تر و ارزان تر بودن دسترسی به کالاها و خدمات داخلی و نیروهای محلی خواهد داشت. اما باید در نظر داشت که اتخاذ این سیاست در همه موارد سبب ایجاد آثار اقتصادی و اجتماعی مثبت برای طرفین قرارداد نخواهد شد و در مواردی سبب بروز چالش هایی در کشور نیز می شود که باید پیش از اجرای این سیاست بدان اندیشید و راه حل هایی برای برون رفت از آن ترسیم کرد.

    مهم ترین وجه تمایز قراردادهای جدید IPC با قراردادهای بیع متقابل، حضور پیمانکار در دوره بهره برداری و بلندمدت بودن زمان قرارداد است. در چنین شرایطی، احتمال بروز اختلاف نظر یا دعوای حقوقی، قراردادی و فنی افزایش می یابد. بنابراین، صرف روش داوری و دادگاه پیش بینی شده در قراردادهای بیع متقابل، پاسخگو نیست. پیچیدگی های فنی- مالی دوره تقریبا پانزده ساله بهره برداری، دست اندرکاران طراحی مدل جدید را بر آن داشت تا افزون بر روش های سنتی حل و فصل اختلافات، از شیوه های جدیدی همچون ارجاع به کارشناس دارای شرایط در اختلافات مالی و فنی استفاده کنند؛ چنین روش هایی هزینه و زمان تصمیم گیری را می کاهد که موضوعی حیاتی برای پروژه ها شمرده می شود. در مقاله پیش رو، روش حل مسالمت آمیز و روش های جایگزین که صرفا محدود به راه حل های حقوقی نیستند، پیشنهاد شده است.

    جرایم علیه انرژی، افزون بر تخریب زیرساخت ها، تهدیدی جدی برای امنیت ملی است. نفت، گاز و برق از مهم ترین انرژی ها و از پایه های فعالیت های جوامع شمرده می شوند. با این درجه از اهمیت، زیرساخت های نفت، گاز و برق برای تروریست ها جاذبه بسیاری داشته و این منابع همیشه در معرض عملیات آنها قرار دارد. برای جلوگیری از ایجاد هراس ناشی از اخلال در زیرساخت های انرژی، این زیرساخت ها بایستی با سیاست جنایی تقنینی مناسب حمایت شوند. در این راستا، پرسش پژوهش پیش رو این است که آیا تروریسم علیه انرژی در سیاست جنایی تقنینی ایران جایگاهی دارد؟ از این رو، بررسی سیاست جنایی تقنینی ایران در مقابله با تروریسم علیه انرژی، هدف این مقاله است. تحلیل مواد قانونی موجود نشان می دهد که حمایت قانون گذار از انرژی در بعضی از مواد قانونی بسیار اندک و در مواد دیگری این جرم را تروریستی قلمداد و مجازات محارب را برای مرتکب تعیین کرده است.

    به طور سنتی، امور تنظیم مقررات انرژی در اختیار دولت ها بوده است اما هم زمان با اجرای اقدامات خصوصی سازی در بخش انرژی کشورها، نهادهای تنظیم مقررات انرژی نیز شکل گرفته اند. یکی از عوامل تضمین اثربخشی نهادهای تنظیم مقررات انرژی، تامین استقلال آنها در برابر ذی نفعان بخش انرژی، به ویژه دولت است. استقلال نهاد تنظیم مقررات، از سه جنبه ساختاری، تصمیم گیری و مالی قابل ارزیابی است. دولت که از مهم ترین حاکمان و سیاست گذاران بخش انرژی است، در تعیین سمت و سوی حرکت تنظیم مقررات نقش بسزایی را بر عهده دارد؛ از این رو، در این پژوهش ضمن معرفی نهادهای تنظیم مقررات در سه زیربخش انرژی برق، نفت و گاز کشور، میزان اثرگذاری دولت در استقلال نهادهای تنظیم مقررات در ابعاد ساختاری، تصمیم گیری و مالی در کشورهای منتخب را بررسی خواهیم کرد. فرضیه اولیه این مطالعه بر این استوار است که میزان استقلال نهادهای تنظیم مقررات انرژی به میزان چشمگیری تحت تاثیر دخالت دولت در امر رگولاتوری قرار گرفته است.

    در اواخر دهه نود و اوایل قرن بیست و یکم میلادی، کشور آرژانتین با بحران اقتصادی و اجتماعی شدیدی روبه رو شد و دولت این کشور برای مقابله با آن، به اقدامات مختلفی دست زد. از آنجا که این اقدامات به شکل گیری دعاوی متعددی توسط سرمایه گذاران علیه آن دولت در داوری های مختلف، از جمله داوری تحت قواعد مرکز حل و فصل اختلافات ناشی از سرمایه گذاری (ایکسید) انجامید، دیوان هایی که به دعاوی مطرح شده علیه آرژانتین رسیدگی کردند، با وجود حقایق یکسان و دفاع - تقریبا- مشابه آن کشور، گاهی آرای متناقضی صادر کردند. مهم ترین اختلافات دیوان های داوری مربوط به تفسیر و تطبیق دفاع ضرورت توسط دولت آرژانتین و استناد این دولت به شرط استثنا مندرج در برخی معاهدات دوجانبه سرمایه گذاری، به عنوان عامل توجیه کننده اقدامات خود بود. با توجه به اهمیت موضوع و امکان وقوع موارد مشابه، در این نوشتار آرای مذکور در پرتو دفاع ضرورت و شرط استثنا بررسی و در پایان مشخص شد که تلفیق دفاع ضرورت و شرط استثنا، مهم ترین عامل به وجود آورنده اختلاف در پرونده های مذکور بوده و این امر ناشی از بی توجهی به تمایز و آثار مجزای هریک از این دو مفهوم بود.

    توسعه در حقوق بین الملل در دو بعد اقتصادی و انسانی مطرح شده است. توسعه اقتصادی، توسعه دولت محور است که بر رشد اقتصادی و درآمد سرانه استوار است؛ در حالی که توسعه انسانی، براساس شاخص هایی همچون سطح آموزش، سطح بهداشت و سطح امید به زندگی تعریف می شود. دستیابی به توسعه پایدار مستلزم اتخاذ سیاست هایی است که هم زمان توسعه اقتصادی و توسعه انسانی را موجب شود. در چهارچوب حقوق انرژی، دولت های در حال توسعه، عمدتا در راستای دستیابی به توسعه اقتصادی به دلیل نیازهای اقتصادی حیاتی، ملاحظات زیست محیطی را در نظر نمی گیرند و به تخریب محیط زیست و بروز آلودگی هایی می انجامند که در نهایت مغایر با حقوق بشر است؛ در حالی که براساس توسعه انسانی، سیاست های انرژی بایستی ضمن افزایش دسترسی افراد بشری به انرژی، نبایستی با اهداف زیست محیطی مغایر باشد. در چهارچوب حقوق انرژی، مسئله این است که دولت ها، به ویژه دولت های در حال توسعه، چه سیاست هایی را در پیش گیرند که بتواند هم زمان، هر دو بعد توسعه را محقق سازند؟ مطالعه نشان می دهد دولت های در حال توسعه، در زمینه حقوق بین المللی انرژی باید تغییر الگو بدهند. این کشورها بایستی سیاست هایی اتخاذ کنند که نخست زمینه ها و ظرفیت های اولیه توسعه اقتصادی آنها را فراهم کند؛ به طوری که بتواند نیازهای اولیه مادی کشور را تامین کند؛ سپس با رسیدن به حداقل میزان توسعه یافتگی، بایستی سیاست های سابق به نحوی پیموده شود که ضمن تحقق توسعه اقتصادی، از طریق افزایش میزان دسترسی به خدمات انرژی، زمینه های توسعه انسانی و تحقق سایر مصادیق حقوق بشر را فراهم سازد.

    میادین مشترک مرزی و روش توسعه آنها، از موضوعات بحث برانگیز سالیان اخیر در مراجع تصمیم ساز ایران بوده است که بخشی از این فعالیت ها به صورت مصوبات قانونی هم نمود یافته اند. بر اساس اطلاعات موجود و در قیاس با همسایگان، موفقیت چندانی در بهره برداری از این منابع حاصل نشده است. در سطح جهانی نیز این موضوع و تبعات آن، همچون تسهیم منافع، پیشینه ای به قدمت تجاری شدن نفت دارند. رویکردهای گوناگون در پیش گرفته شده، از عملکرد کاملا یک جانبه تا کوشش برای ایجاد حداکثر هماهنگی میان طرفین بوده است. به دلیل اهمیت پاسداری از منابع، اکنون روابط بین کشورها از یک جانبه گرایی به سمت ایجاد بسترهای لازم برای همکاری بیشتر گرایش یافته است. این رویکردهای متفاوت، از یک سو، تابعی از میزان دانش مخزن و طبیعت سیال و از سوی دیگر، عوامل مختلف شکل دهنده روابط طرفین بوده است. از این میان، ابزارهای حقوقی در دسترس برای تعریف و شکل دهی روابط، نقشی اساسی در  ترسیم روابطی که از سوی طرفین بهینه تشخیص داده می شد، داشته اند. در این نوشتار ضمن مروری کوتاه بر روند تاریخی طی شده در این عرصه، چهارچوب های رایج موافقت نامه های منعقدشده برای توسعه مشترک به نقد گذاشته شده و از برآیند بررسی های انجام گرفته، توصیه هایی چند به منظور طراحی مدل بومی الگوی موافقت نامه فراگیر توسعه میدان ارائه می شود.

    در دهه گذشته برخی کشورهای در حال توسعه به منظور ارتقای سطح اقتصادی خود و با استناد به اصل حاکمیت دائمی دولت ها بر منابع طبیعی، به عنوان یکی از حقوق ذاتی خود که از سوی جامعه جهانی و سازمان ملل متحد مورد شناسایی قرار گرفته است، به قیمت گذاری دوگانه انرژی روی آوردند. در مقابل، به باور کشورهای توسعه یافته، اقدام دولت های دارنده انرژی، ناقض برخی اصول بنیادین سازمان تجارت جهانی، مانند اصل تجارت آزاد، اصل منع تبعیض تجاری و اصل رفتار ملی است. از این رو، دعاوی متعددی در هیئت رسیدگی به اختلافات سازمان تجارت جهانی مطرح شد. به گمان هیئت حل و فصل اختلافات، تعارضات میان اصل تجارت آزاد و اصل حاکمیت دولت ها بر منابع طبیعی، ظاهری بوده و در حقیقت بین این دو اصل هیچ تضادی وجود ندارد. بنابراین، باید ضمن احترام به قواعد عام حقوق بین الملل و در نظر گرفتن اصول بنیادین سازمان تجارت جهانی به عنوان قوانین خاص، میان دو اصل مزبور تعادل برقرار کنیم. همچنین هیئت رسیدگی به اختلافات سازمان تجارت جهانی ابراز می دارد که هیچ یک از موافقت نامه های سازمان تجارت جهانی، قیمت گذاری دوگانه را آشکارا ممنوع اعلام نکرده اند و برای درک این مسئله که قیمت گذاری دوگانه انرژی ناقض اصول سازمان تجارت جهانی است یا خیر، می بایست مورد به مورد و با توجه به تمام شرایط و زوایای موجود در پرونده، نظر داد.

    حل و فصل اختلافات قراردادهای پیمانکاری، با توجه به اهمیت اقتصادی پروژه های صنعت نفت و ضرورت سرعت در رسیدگی و همچنین تخصصی بودن موضوع رسیدگی و کاهش هزینه های دادرسی، اهمیت ویژه ای دارد. فیدیک برای ارائه الگویی یکسان در قراردادهای پیمانکاری، در سال 1999 نهادی با عنوان هیئت حل و فصل اختلافات را تاسیس کرد. وزارت نفت ایران نیز سال های 1387 - 1393 شیوه نامه هایی برای حل و فصل اختلاف در قالب هیئت های حل و فصل اختلافات مطرح کرده است که با بررسی تطبیقی این هیئت ها در سازمان فیدیک و وزارت نفت، نتایجی به دست آمد که نشان دهنده ایراداتی، از جمله عدم حضور اعضای هیئت حل و فصل اختلافات در طول عمر پروژه در میدان، عدم ذکر تاریخ های مشخص و دقیق برای هر یک از مراحل رسیدگی و همچنین عدم ایفای نقش بازدارندگی این هیئت ها در بروز اختلاف بین طرفین در شیوه نامه مورد استفاده وزارت نفت است. پژوهش پیش رو، از روش توصیفی - تحلیلی بهره برده است.

    اهمیت دریافت های دولت و نظام حاکم بر آن، قانون گذار را بر آن داشته که ضمن نظارت دقیق بر درآمدهای دولت، نحوه استفاده از آنها را مشخص کند. بسته به اینکه هر یک از دریافت های دولت، از منظر قانونی زیر چه عنوانی - درآمدهای عمومی، اختصاصی و درآمدهای شرکت های دولتی- قرار گیرد، قوانین حاکم بر آن متفاوت خواهد بود. شرکت ملی نفت ایران که یکی از مهم ترین شرکت های دولتی است و نقش بسزایی در کسب درآمدهای دولت دارد، مورد توجه قانون گذار بوده و درآمدهایش توسط وی چهارچوب بندی شده است. اکنون پرسش این است که درآمدهای این شرکت تحت چه عنوان قانونی قرار گرفته و از این حیث تا چه میزان آزادی عمل دارد و نظام حقوقی حاکم بر آن چگونه است؟ در مقاله پیش رو، به پرسش های مذکور به طور مستدل و مستند پاسخ داده شده است.

    در نتیجه انعقاد و اجرای چندین قرارداد بیع متقابل در طول نزدیک به سه دهه در پروژه های صنعت نفت و گاز کشور، ایرادهای این چهارچوب قراردادی، به ویژه از دیدگاه شرکت های بین المللی خارجی آشکار شده است. تخصیص نیافتن سهمی از نفت و گاز تولیدی به پیمانکار و در نتیجه، طرح ابهامات در خصوص امکان شناخت ذخایر موضوع قرارداد، کوتاه بودن مدت این قراردادها و عدم مشارکت شرکت های نفتی در مرحله تولید و نامقبول بودن رژیم مالی این قرارداد برای شرکت های بین المللی خارجی، به عنوان بخشی از این ایرادات همواره مورد اشاره طرف های خارجی قراردادهای شرکت ملی نفت ایران بوده است. در راستای حل ایرادات مطروحه در خصوص قرارداد بیع متقابل و جذب منابع مالی به پروژه های نفت و گاز کشور، قرارداد جدید نفتی ایران از سوی شرکت ملی نفت ایران معرفی شد. مقاله پیش رو به بررسی تطبیقی قرارداد بیع متقابل و قرارداد نفتی ایران در زمینه های مالکیت، شناخت ذخایر و سیستم مالی می پردازد و سرانجام به این نتیجه می رسد که مالکیت ذخایر نفت و گاز و نیز نفت و گاز تولیدشده در قرارداد جدید، همچون بیع متقابل به پیمانکار منتقل نمی شود. همچنین، مطابق دستورالعمل PRMS ، پیمانکار قرارداد نفتی ایران نیز مشابه پیمانکار قرارداد بیع متقابل، قادر به شناخت ذخایر نفت و گاز موضوع قرارداد است. همچنین، صرف نظر از اعمال پاره ای اصلاحات در سیستم مالی قرارداد جدید، همچنان می توان ایراداتی به آن وارد کرد.

    حضور شرکت‏‏های نفتی خارجی در مناقصات قراردادهای آی.پی.سی. موضوع تصویب‏نامه‏ «شرایط عمومی، ساختار و الگوی قراردادهای بالادستی نفت‏وگاز»، منوط به عقد قرارداد مشارکت با شرکت‏های اکتشاف‏ و تولید ایرانی دارای صلاحیت است. با وجود این، برگزیدن شریک ایرانی توسط شرکت‏‏های ‏خارجی مشمول ضابطه‏ای رقابتی نیست. از سوی ‏دیگر، با توجه به ناتوانی فنی و مالی شرکت‏های ‏ایرانی برای ورود مستقل به پروژه های بزرگ نفتی موضوع تصویب‏نامه، در وضعیت فعلی، شرکت‏‏های‏ ایرانی در عمل جز از مجرای مشارکت با شرکت‏‏های خارجی، راهی برای ورود به مناقصات این‏گونه پروژه ها ندارند. در این ‏میان، به‏سبب تحریم‏های جاری، از تعداد شرکت‏‏های ‏خارجی علاقه مند به حضور در مناقصات میادین نفتی ایران کاسته‏ شده و بیم سوءاستفاده از موقعیت مسلط یا تبانی آنها در روند مناقصات دوچندان است. مقاله پیش رو، بر آن است تا با رویکردی تحلیلی، رفتارهای ضد رقابتی شرکت‏‏های‏ خارجی را در قبال شرکت‏های ‏ایرانی (در مرحله تشکیل مشارکت برای ورود به مناقصات) و شرکت ‏ملی ‏نفت ‏ایران (در جریان ورود به مناقصات) بررسی نموده و ضمانت ‏اجراهای قواعد رقابت را در قبال این‏ رفتارها تبیین کند.

    Since the nationalization of petroleum industry and recognition of the states’ sovereign right over their reserves and underground resources, the “local content strategy” has become one of the main commitments of the international oil companies in the upstream oil and gas contracts. The rationale behind including such clause is to create jobs, promote enterprise development and to facilitate transfer of new skills and technologies to the host country. According to this provision, foreign investors are obligated to give priority to domestic goods and services as well as native workforce while conducting petroleum operations. Local Content requirement has become a customary rule in the industry and is implemented in different ways. While some of them are mandatory, others are voluntary. This provision increases the operators’ motivations by means of fiscal incentives or tax reduction. Local content regimes entail risks and opportunities for both host government and oil and gas companies. The requirement yields benefit for host governments as well as foreign investors through providing easy access to affordable manpower and services. However, the economic and social impacts associated with such requirement are not always positive for all parties of the contracts, and in some cases serious challenges may arise in host countries and for companies. For example, operators and international contractors may face unrealistic expectations or targets from host governments or local communities seeking quick results. So before proceeding to implementation phase, any potential challenge should be analyzed and appropriate solutions should be found in advance.

    The most important aspect is the distinction of the new IPC contracts with reciprocal contracts is the presence of the contractor during the operation period and a long-term contract length. In such situations, the probability of disagreement or legal, contractual, and technical litigation is increased. Therefore, it is only the method of arbitration and the foreseeable court do not respond to mutually exclusive contracts. The technical-financial complexities of the nearly 15-year period of exploitation involved designers of the new model in addition to traditional ways of resolving disputes, new practices such as referral to qualified experts in financial and technical disputes, such methods reduce the cost and timing of decisions that are critical to projects. Within the scope of this agreement, three methods of peaceful settlement, alternative conditions and ultimately arbitration are proposed. This paper proposes a peaceful solution method and alternative methods that are not limited to legal solutions.

    Crimes against energy, in addition to the destruction of infrastructure, are a serious threat against national security. Oil, gas and electricity are among the most important energy and functioning of population activities. With this degree of importance, oil, gas and electricity infrastructure is highly appealing to terrorists and these sources are targets of terrorism operations. In order to prevent the fear of disruptions to energy infrastructure, those facilities must be protected through legislating suitable criminal policies. In this regard, the question of this research is whether terrorism against energy has any place in the Iranian legislative criminal policies. For this reason, analysis and evaluation of legislative criminal policy in confronting terrorism against energy is studied. Analyzing the existing legal articles in this area reveals the legislator’s protection of energy in some of the legal articles has been trivial while in some other articles, this offence has been recognized as an act of the terror with the punishment the same as that of a Mohareb.

    Governments have traditionally undertaken regulation. However, while undertaking privatization measures in energy sector take place, energy regulatory authorities have been established. One of the factors that ensure the effectiveness of energy regulatory authorities is their independence from energy sector stakeholders, especially government. Energy regulatory body independence can be studied from structural, decision-making, and financial perspectives. As the most important governance and policy-making body in energy sector, government has a pivotal role in moving towards regulation in the sector. Hence, introducing regulatory bodies in oil, gas, and electricity sub-sectors of energy sector, this article aims to investigate the influence of government measures in structural, decision-making, and financial independence aspects of energy regulatory authorities in the selected countries. Presumption of this study is based on the fact that the independence degree of energy regulatory bodies is substantially affected by government interventions in energy regulation.

    In the late 90s and the early 21st century, Argentina faced a severe economic and social crisis, and to deal with it, the government took various measures. These actions have led to the formation of various claims by investors against that State in several arbitrations, including arbitration under the rules of the Investment Dispute Resolution Center (ICSID), hence tribunals that have considered the claims brought against Argentina, sometimes issued contradictory award, despite same facts and (almost) similar defenses of the country. The most important disagreements between the arbitration tribunals concerned with interpretation and implementation of the necessity defense by the Argentine government and its invocation to exception clause contained in some bilateral investment treaties as an excuse for its actions. Considering the importance of the issue and the possibility of occurrence of similar cases, in this paper, we considered the relevant awards in the light of necessity defense and exception clause. Finally it became clear that the mixing of necessity defense and exception clause was the most important factor causing differences in the above-mentioned cases and this was due to the lack of attention to the distinction of these two concepts and distinct effects of either of them.

    Development in international law has been propounded in the forms of economic development and human development. Achieving sustainable and comprehensive development in energy law requires policies which may bring forward economic development alongside human rights.  In the context of international energy law, developing countries in order to achieving economic development ignore environmental principals which can subsequently lead to destruction of environment. These effects are against human rights. While energy strategies should respect environmental principals and increase human access to energy. The issue here is that in what ways the governments especially the developing countries should trace their energy law processes to achieve the both aspects of development? The study shows developing countries should change their paradigms. These states should apply strategies which prepare the primary grounds and capacities of economic development in a way that make them able to provide the preliminary substantial needs of the country. Subsequently by approaching the least measure of development, the energy policies must trace in a way that besides achieving economic development by increasing access to energy services, provide human development and other instances of human rights.

    Common fields and their development method have been among the controversial issues in Iran's decision-making authorities, which have included some of these activities as legal acts. On the basis of the available information, there has been little success in exploiting these resources. This issue and its consequences, such as the sharing of benefits, have a history as long as oil. Various approaches have been selected from totally unilateral action to maximum coordination between the parties. Because of the importance of resources conservation, now the relationship between countries has led to the creation of the groundwork for further cooperation. These different approaches were affected by reservoir knowledge and the nature of the fluid and some other factors are shaping the relations between the parties. The available contractual tools played a fundamental role in mapping out the relationships between parties. In this paper, while briefly reviewing the historical trend, from the results of the reviews of the common frameworks of the agreements for joint development, several recommendations are presented for designing the local model.

    In the past decade, some developing countries, based on the principle of the PSNR as one of their inherent rights recognized by the international community and the United Nations, have engaged in Energy Dual Pricing in order to promote their economic level. On the other hand, developed countries were on the opinion that the actions of energy-holding states are in violation of the fundamental principles of the WTO, such as the principle of free trade, principle of commercial non-discrimination and the principle of national Treatment. Therefore, numerous cases were filed and engaged by the DSB of WTO. According to the DSB, the conflicts between the principle of free trade and the principle of the sovereignty of the state on natural resources are non-real and in fact there is no conflict between them. We thus, having respected the rules of general international law and also taking into account the fundamental principles of the WTO as special rules, make a balance between these two principles. Also the DSB of WTO states that none of the WTO's bilateral trade agreements have explicitly forbidden energy dual pricing, and to understand whether energy dual pricing violates the principles of the  WTO or not, it should be considered in the light of all the circumstances, on a case by case basis.

    Settlement of disputes in service contracts with regard to the economic importance of oil industry projects and the need for speed in settlement of disputes as well as the specialty of reviewing of dispute and reducing the costs of proceedings has particular importance for countries over the last few decades. FIDIC provides a unit model in service contract and launches a new institution called the “Dispute Board” in 1999 to resolve disputes. Iran’s Oil Ministry in four periods announced several instructions for resolving of disputes. The results of the comparative review of these instructions at the FIDIC Organization and the Petroleum Ministry indicates disadvantages such as the absence of Dispute Board members over the life of the project in the site, not mentioning specific dates for each process and also, failure to play the role of deterring these boards in the emergence of differences between the parties. the scope of this research is on general terms of contract in FIDIC for the settlement of disputes between contracting parties and Iranian models bugs. It should be noted that the present study has used a descriptive-analytical method.

    The importance of government’s income and its governance make legislators observe such income carefully and also determine the way that the government shall use its income. Depending on which category such income falls within, namely,  public income, dedicated income, corporate income, the laws applicable to the income differ. National Iranian Oil Company (NIOC) is one of the main governmental companies, income of which constitutes a major part of the government’s income. Thus, legislator enacted laws to govern income of NIOC. Now the question is within which category the income of NIOC falls and what is the scope of its authority to use such income? This essay is aimed to answer such questions using reasons and reviewing and interpreting the applicable laws.

    After nearly three decades since the conclusion and implementation of Buyback contracts in the oil and gas industry in Iran, objections to this contract, particularly from the perspective of foreign investors has been revealed. Failure to allocate a share of the produced oil and gas to foreign investors and subsequently discussing possibility of reserve recognition, short terms of Buybacks and non participation of oil companies in production period, non admissibility of Buybacks fiscal system for foreign investors and the Iranian content are among many challenges which have been set forth by contractors. In order to solve such problems and attract expertise and financial resources to the Iranian oil and gas projects, a new petroleum contract has been introduced by Iran, the so-called Iranian Petroleum Contract (IPC). The present article will comparatively analyze Buyback and IPC in three aspects naming ownership, reservoir recognition and fiscal regime and will conclude that under IPC, the same as Buyback, ownership of petroleum in situ and produced oil and gas vest by the government. Also, IPC’s contractor, the same as the contractor under the Buyback, is able to recognize oil and gas reserves in accordance with the PRMS guideline, and its fiscal regime although in some areas has been improved, some objections can be raised.

    Foreign oil companies' entry into IPC tenders has been made subject to conclusion of JVs with qualified Iranian E&P companies. However, the law does not require FOCs to select their IEPC by means of competitive methods. Moreover, as IEPCs do not possess the required abilities to independently enter major petroleum projects, it is inevitable for them to engage in JVs with FOCs. Meanwhile, due to sanctions imposed on Iran, the number of FOCs willing to enter the IPC tenders has decreased, and so there is a higher chance of abuse of dominance or collusion practiced by these FOCs during the course of IPC tenders. This essay serves as an endeavor to demonstrate the anti-competitive conducts likely to be pursued by FOCs against IEPCs (in the course of entering the JV) and against NIOC (in the tender process), and to clarify the competition law sanctions applicable to FOCs in this regard.
