    بحث در مورد رابطه سببیت در دو مرحله جداگانه صورت می گیرد؛ مرحله اول، شناخت سبب واقعی که همان مرحله تعیین امور موضوعی است و به بررسی عوامل موثر در بروز حادثه و تعیین نقش و جایگاه آنها به عنوان سبب، شرط و… می پردازد. مرحله دوم همانا تعیین سبب مسئول از بین تمام اسباب و عواملی است که در مرحله اول شناسایی شده اند. در تعیین سبب مسئول، در برخی نظام های حقوقی از شرط تقصیر سخن به میان آمده و از بین اسباب شناسایی شده در مرحله اول، آنهایی را مسئول می شناسند که مقصر نیز بوده باشند. در دهه های اخیر در نظام حقوقی کشورهای غربی نظریه ای مطرح شده است که به موجب آن، هر سببی فارغ از داشتن تقصیر، به میزان تاثیر خود در بروز و ورود زیان، مسئول است، مطلبی که بررسی منابع حقوق داخلی از جمله فقه امامیه و حتی قوانین مدنی و مجازات اسلامی، بیانگر این امر است که نه تنها حقوق ما با این نظریه بیگانه نیست، بلکه مسئولیت براساس میزان تاثیر و نهتقصیر مورد پذیرش قوانین حاکم بر موضوع به ویژه قانون مجازات اسلامی 1392 قرار گرفته است.

    یکی از راهکارهای حقوقی جلوگیری از انعقاد قراردادهای معارض، استفاده از جبران های مناسب است، چون جبران های مناسب می توانند طوری ایفای نقش کنند که از سویی از زیان دیده قراردادی حمایت شود و از سوی دیگر، مانع بهره مندی طرف متخلف از کسب منافع نامشروع شود. در این مقاله جبران های قراردادهای معارض در حقوق قراردادهای حقوق اسلام و ایران، بررسی و ثابت شد ک اولا قواعد مسئولیت قراردادی خسارت قرارداد غیرمعتبر را، که عدم اعتبار آن منتسب به یکی از طرفین قرارداد است، شامل می شود. ؛ ثانیا به استناد قواعدی مانند اصل حرمت مال می توان طرف متخلف را از منافع نامشروع ناشی از آن محروم کرد و به استناد قواعدی مانند قاعده غرور، ضمان ناشی از اقرار متعارض، ضمان درک و ضمان ناشی از معاوضات، منافع انتظاری زیان دیده قراردادی را قابل جبران و حمایت شمرد.

    امروزه اشخاص و صاحبان صنعت و به ویژه بیمه گران به منظور تضمین جبران خسارات واردشده، درصدد اخذ پوشش بیمه ای هستند. در این زمینه بعضا دو یه سه شخص با یکدیگر رابطه دارند: بیمه گذار و بیمه گر و عنداللزوم شخص ثالث ذی نفع. در این مجال، بیمه گران نیز جهت تضمین خسارات، اقدام به انعقاد قرارداد بیمه با بیمه گران دیگر می کنند که در اصطلاح به این عملیات، بیمه اتکایی یا بیمه مجدد گفته می شود. با این حال در صورت بروز خسارت بیمه گذاران درصدد رجوع نه به بیمه گر مستقیم خود، بلکه به بیمه گر اتکایی اند و در این عرصه بعضا موفق هم بوده اند. با این حال در این مقاله دلایل عدم امکان رجوع بیمه گذار به بیمه گر اتکایی با نگاهی به رویه قضایی کشورهای انگلستان و آمریکا بررسی شده است.

    «وعده اجرا» ی تعهد، عقد عهدی است که تابع آثار و احکام عمومی قراردادهاست. مسئله این است که آیا «وعده ایفای» تعهدات طبیعی نیز می تواند تنها با اراده مدیون، این تعهد فاقد ضمانت اجرا را وارد جهان حقوق کند؟ یا، تحقق این امر، نیاز به رضایت طلبکار دارد؟ پراکندگی نظرها میان دکترین حقوقی و رویه قضایی، در این زمینه، درخور ملاحظه است. گاه نتیجه «وعده اجرا» را تکوین تعهد جدید حقوقی با موضوع ادای دین اخلاقی می دانند و گاه تنها یک «اقرار» ساده به منظور تایید و شناسایی یک تعهد اخلاقی. شماری هم مولود جدید را نتیجه «تبدیل» تعهد طبیعی به یک تعهد حقوقی الزام آور می انگارند.

    یکی از مزایای داوری، علاوه بر حذف تشریفات، انعطاف در رسیدگی ماهوی به اختلاف است. داور می تواند با اختیاری که از طرفین به دست می آورد، رسیدگی خود را بر مبنای انصاف قرار دهد و به صورت کدخدامنشانه قضاوت کند. اختیاری مهم که در مراجع قضایی معمول نیست، اما داور به خوبی می تواند از آن استفاده کرده و رای عادلانه صادر کند. شناسایی این اختیار در عین حال، سرنوشت ساز است، زیرا طرفین و مراجع قضایی کنترل کننده باید بدانند داور براساس کدام مبانی و قواعد، به نتیجه مورد نظر دست یافته است؟ روح مشترک این نوع داوری ها که با عناوین مختلف معرفی می شوند، پرهیز از قواعد سخت و خشک قانون و پناه بردن به معیارهای منعطف برای تعدیل شرایط طرفین است. با این حال، این معیار، خود نیز ابهام دارد و ازاین رو شایسته است با نگرشی تطبیقی به این داوری، دقت در رویه های قضایی و اندیشه های حقوقی، آن را قابل کنترل و قابل درک کرد. موضوع مقاله حاضر شناسایی داوری مذکور و مفاهیم مرتبط با آن است.

    جریان سریع جهانی شدن، پژوهش های تطبیقی حقوقی را نیز ضروری ساخته است. نخستین پیش نیاز پژوهش تطبیقی، شناسایی دقیق مفاهیم مرتبط با موضوعی است که در چند نظام حقوقی مورد مطالعه مقایسه ای قرار می گیرد. در قلمرو حقوق مسئولیت مدنی و tort از یک سو، و فقه و حقوق ضمانات از سوی دیگر، شناسایی مقایسه ای مفاهیم سه گانه «ضمان» ، «مسئولیت مدنی» و «Tort» نخستین گام برای هر گونه پژوهش تطبیقی در این حوزه است؛ به ویژه اینکه ادبیات حقوقی رایج ما در این زمینه از شفافیت لازم برخوردار نیست و کاربردهای غیردقیق و گاهی نادرست از این واژگان وجود دارد. در این مقاله سعی شده است که هر یک از این مفاهیم سه گانه در خاستگاه اصلی خود شناسایی شود؛ سپس مقایسه ای اغلب مفهوم شناسانه بین آنها صورت گیرد؛ تا به ویژه مناسبات مفهومی واژه «ضمان» که از پیچیده ترین مفاهیم در فقه و حقوق اسلامی است، با نظایر آن در دو نظام حقوقی مذکور روشن شود.

    تحقق نهاد انتقال حقوق دینی برخلاف نهاد انتقال قرارداد نیازمند کسب رضایت متعهد نبوده و حقوق متعلق به اشخاص خواه به صورت ارادی، خواه به صورت غیرارادی قابل انتقال به دیگری است، مگر آنکه خلاف آن بنابر دلیل قطعی مانند توافق بر منع انتقال یا شخصی بودن آن مسلم گردد. در اسناد بین المللی مورد مطالعه (اصول قراردادهای تجاری بین المللی، اصول حقوق قراردادهای اروپا و طرح چارچوب مشترک مرجع) صرفا انتقال ارادی حقوق شناسایی شده و برخلاف حقوق ایران و انگلیس، انتقال غیرارادی آن تحلیل و بررسی نشده است. همچنین با توجه به تمایز انتقال کلی حقوق از انتقال جزئی آن باید بر این باور بود که در حقوق پولی برخلاف حقوق غیرپولی اصل بر انتقال جزئی آن است و شخص می تواند بی آنکه کل حقوق خویش را واگذار کند، صرفا بخشی از آن را به دیگری منتقل کند، حال آنکه در حقوق غیرپولی، اصل بر عدم انتقال جزئی است، مگر آنکه آن حق قابل تجزیه بوده و واگذاری آن سبب افزایش هزینه غیرمتعارف متعهد نگردد.

    همواره این سوال در ذهن صاحب نظران وجود داشته است که آیا اوراق مشارکت توانسته اند جایگزین شایسته ای در بازار برای اوراق قرضه باشند؟ تحلیل حقوقی حاضر نشان می دهد که اوراق مشارکت جایگزینی برای اوراق قرضه مورد نیاز بازارند. با این حال، با وجود تفاوت های اساسی میان اوراق سهام و اوراق قرضه، اوراق مشارکت ترکیبی از اوراق سهام و اوراق قرضه اند. به عبارتی هم مزایای اوراق قرضه و هم مزایای اوراق سهام را دارا هستند، بدون اینکه از معایب هر یک از آنها سهمی برده باشند. ضمن اینکه مسائل حقوقی مربوط به مدیریت طرح موضوع این اوراق همچنین مسئولیت ناشی از این اوراق برای دارنده آن مورد توجه قانونگذار قرار نگرفته است. راهکار در نظر گرفته شده برای اوراق مشارکت اگرچه از نظر فقهی پذیرفته شده، از نظر حقوقی اقتصادی دچار خطاست، بنابراین این اوراق از نظر عملی و در بازار (در میان بخش خصوصی) قابل پذیرش نبوده و مورد پذیرش و استفاده قرار نگرفته اند. در نتیجه، اوراق مشارکت نتوانسته اند جایگزین مناسبی برای اوراق قرضه باشند.

    قراردادهای حمل ونقل هوایی، نوعی قرارداد مصرف محسوب می شود. با توجه به اینکه روزانه هزاران و حتی شاید میلیون ها قرارداد حمل ونقل بین شرکت های هواپیمایی (به عنوان متخصص) و مسافران (به عنوان مصرف کننده) منعقد می شود، شناسایی شروط تحمیلی در قراردادهای مذکور که بیانگر سوء استفاده شرکت های هواپیمایی از قدرتشان است، ضروری به نظر می رسد. با توجه به اینکه برای مبارزه با شروط تحمیلی، علاوه بر شناسایی مصادیق شروط تحمیلی، انتخاب راهکار قانونی مناسب برای مقابله با آنها نیز لازم است، برخی کشورها به ویژه کشورهای عضو اتحادیه اروپا اقدام به حذف شروط تحمیلی در قرارداد و در برخی دیگر مبادرت به تعدیل شروط تحمیلی (و نه حذف آن) کرده اند. در این مقاله ابتدا به شناسایی شروط تحمیلی در قراردادهای حمل ونقل هوایی و سپس بررسی احکام مربوط به آن پرداخته می شود.

    داوری، شیوه جایگزین است که در آن داور بی طرف و منتخب خود طرفین در خارج از دادگاه در پی حل اختلاف است. در جریان داوری، داور بازیگر اصلی است و اوست که نهایتا در خصوص اختلاف اتخاذ تصمیم می کند. مهم ترین تعهد داور در این کارزار التزام به حل واقعی اختلاف و احقاق عادلانه حق است و سایر تعهدات او فرع بر این تعهد اصلی است. ایجاد این تعهد مستلزم پذیرش داور است و با تحقق اختلاف و درخواست رسیدگی از جانب یکی از طرفین، داور مکلف به اجرای تعهدی است که با اراده خویش پذیرفته است. نوشتار حاضر با طرح این سوال که موضوع و ماهیت التزام داور به حل وفصل اختلاف چیست، با استفاده از روش کتابخانه ای و مراجعه به منابع داخلی و خارجی در پی تبیین برخی جوانب این تعهد از نظر حقوق تعهدات است. در این زمینه می توان گفت که تعهد داور به حل اختلاف در واقع التزام به صدور رای است، این تعهد همانند سایر التزامات قراردادی باید معین و مقدور باشد و در مسیر اجرای آن داور همانند دادرس باید در پی کشف حقیقت باشد.

    The Studies about causation have been made in two steps; the first step is identification of the cause in fact. The “cause in fact” is the condition, action, or object that caused the damages. The second step identifies the Legal cause or proximate cause from all causes that identified at first step which is an event sufficiently related to a legally recognizable injury or damage to be held to be the cause of that injury or damage. In some legal systems, the negligence is an essential factor for defendant’s responsibility and from all causes identified at first step, those will be responsible that have a fault. Recently the theory of comparative causation has been raised in western legal systems adopting a system of nonfault liability that assesses the costs of accidents according to the involvement in the activity irrespective of legal notions of fault. The study of the local laws and regulations indicates that dividing the costs of an accident among the sub-activities has been accepted by Iranian laws.

    One of the legal solutions to prevent conclusion of conflicting contract is using proper remedies, , Because the appropriate compensations can play a role that, on the one hand, the contractual interst of the innocent party should be protected and on the other hand, the wrongdoer party, could not benefits illegitimate interests. In this article the remedies available to the innocent party of invalid conflicted contract is studied under the Islamic and Iranian contract law and is proven that First of all, the rules of contractual responsiblity cover the loss of invalid contract, when the cause of invalidity is attributable to the one parties of the contract. Secondly, the wrongdoer party of invalid conflicted contract may be deprived from obtaining illegitimate interests according to the principle of the sanctity of property and the contractual expected benefits of innocent party could be compensated and protected according to the rules such as the principle of deception, liability resulting from the conflict confession, the principle of Guarantee of damage and liability arising bilateral contract.

    Binding to execute an obligation is a kind of contractual obligation, which is submitted to the general terms and conditions of validity of a legal agreement. But the question is to know whether the simple promise of completion a natural obligation could make it enforceable by debtor’s unique will, or creditor’s consent is also necessary.
    Doctrinal and jurisdictional interpretations in this matter are quite different from each other. Some consider it as a new legal agreement to fulfill a moral duty. While the others think that it is not, but a simple avowal to confirm a moral obligation. Still some jurists believe that the new agreement is a substitution of a new legal contract for an existing natural obligation.

    One of the advantages of arbitration, in addition to the removal of formalities, is the flexibility in substantive hearing to dispute. arbitrator can judge based on fairness and amiable composition, with the authority that be given by the parties. an important option that is not common in judicial authorities, but the arbitrator could use it well and issues a fair award. at the same time, identification of this authority is decisive because the parties and judicial authorities should know arbitrator according to which principles and rules of control achieved that result? the common spirit of this arbitrations that are introduced with different titles is avoid from hard and frigid rules of law and recourse to flexible criteria for adjusting the terms of the parties. however, this criteria is ambiguous and therefore it deserves to be manageable and understandable by comparative view to this arbitration, paying attention to judicial review and legal doctrine. This article identifies that arbitration and concepts related to it.

    The swift trend of globalization has left its impression on comparative legal studies. A first prerequisite of a comparative study is identification of related conceptions related to a topic which is subject to comparative studies in several legal systems. The first step for any comparative study in the realm of civil liability law, Tort law, and the ḍamān-oriented Fiqh and Islamic law is the comparative identification of the three conceptions of ḍamān, civil liability, and Tort. It is significant because our current Iranian law literature is not that transparent in this regard, leading to inexact and imprecise uses of these terminologies. The present paper deals with each of these three terminologies in their genuine contexts of origination, followed by a mainly conceptual comparison, leading particularly to conceptual relations of ḍamān, itself a sophisticated term in the Islamic Fiqh and law, in contrast to its synonymous terminologies in the other two legal systems.

    Realization of institution of transfer of rights contrary to the institution of transfer of contract doesn’t require the consent of obligor, and the rights belonging to the persons, whether voluntarily or involuntarily, are transferrable to the others, unless contrary thereto is proved due to definite proof such as agreement on prohibition of transfer or its personal nature. In the studied international instruments (principles of international commercial contracts, Draft Common Frame of Reference (DCFR), only voluntary transfer of rights has been identified, and contrary to Iranian and British law, its involuntary transfer has not been analyzed and investigated. Moreover, considering the differentiation of total transfer of rights from its partial transfer, in the monetary rights contrary to the nonmonetary rights, its partial transfer is basis, and the individual without transferring his total rights, may transfer only a part of which to the others, whilst in nonmonetary rights, lack of partial transfer is applied as basis, unless the right is divisible and its transfer not results in unconventional increase of obligor’s obligation.

    Always there has been this question in the minds of experts that whether the partnership securities (ouräghe moshärekat) have been able to substitute debentures in the market properly? Present legal analysis shows that partnership securities as a substitution for debentures are needed for the market. But despite fundamental differences between stocks and debentures, partnership securities are a compound of stocks and debentures. To say they have both the advantages of stocks and debentures without getting suffered from disadvantages of each of them. In addition, legal questions on management of the subject project of these securities as well responsibility out of these securities for its holder has not been considered by the legislature. Mechanism considered for partnership securities although approved from the Islamic jurisprudential (fiqhi) view contains fault from the legal economy view so such securities practically and in the market (within the private sector) have not been acceptable so have not been accepted or used. As a result, partnership securities could not substitute debentures perfectly.

    Air transportation contacts are those which considered for numerous consumers. Given the point that thousands and even perhaps millions of daily transportation contracts between the airline companies (as the expert) and passengers (as a consumer) are placed, identifying the unfair terms in the contracts, which represents airlines abusing their power, seems to be necessary. It is also noteworthy that for fighting against the unfair terms, in addition to identifying the instances of the unfair terms, applying the appropriate legal strategy is also demanding. European Nation country members attempted to develop new strategies in order to fight against the unfair terms. The present study aimed to initially identify the unfair terms and then investigate their relevant provisions

    Arbitration is an alternative method in which the neutral and selected arbitrator of the parties outside the court seeks to resolve the dispute. In the course of arbitration, the arbitrator is the main actor and he is the one who ultimately decides on the dispute. The most important obligation of the arbitrator in this battle is to resolve the dispute, and his other obligations are in keeping with this main obligation. The establishment of this obligation requires the acceptance of the arbitrator and, if the dispute arises and the petition is handed down by one of the parties, the arbitrator is required to fulfill the obligation accepted by his will. The present paper deals with the question of the issue and nature of the arbitrator's obligation to resolve dispute. Using the library method and referring to internal and external sources, the present study seeks to clarify the legal aspects of the arbitrator's obligation from the obligations law view. In this regard, it can be argued that the arbitrator's obligation to resolve the disputes is in fact an obligation to the issuance of the award, it must be definite and possible and like the judge, arbitrator should seek the discovery of the truth.
