    در بسیاری از معاهدات و قرارداد های سرمایه‏گذاری به منظور جلب نظر سرمایه گذار و همچنین ایجاد شرایط و زمینه های مساعد سرمایه‏گذاری، این اختیار به سرمایه گذار داده می‏شود تا در صورت بروز هر نوع اختلاف نسبت به اصل قرارداد، تفسیر یا اجرای مفاد آن، دعوای خود را در مراجع قضاوتی داخلی کشور میزبان، دیوان‏های داوری بین‏المللی و یا سایر مراجع پیش بینی شده در متن قرارداد یا معاهده ثبت کند. پیش بینی هم زمان چند مرجع قضاوتی گرچه این امکان را برای خواهان دعوا مهیا می کند تا با بررسی بیشتر، مرجع مناسب تر رسیدگی کننده را برای ثبت خواسته خود انتخاب کند، اما صدور آرای متفاوت، ایجاد جریان رسیدگی موازی، ابهام در اجرای آرای متفاوت صادرشده، طولانی شدن روند حل وفصل اختلاف، تاخیر در اجرای مفاد قرارداد و... ازجمله معایبی است که صالح بودن هم زمان چند مرجع رسیدگی کننده به همراه دارد. شرط تعیین مرجع رسیدگی، شرطی است که دولت ها با درج آن در معاهده یا قرارداد از سرمایه‏گذار می خواهند تا در صورت بروز هر نوع اختلاف، از میان مراجع مختلف صالح به رسیدگی دست به انتخاب زده و به صورت قطعی تنها یک مرجع را جهت ثبت دعوای خود انتخاب کند.

    ارتباط دعاوی موجب پیوند و وابستگی آیینی میان آن ها می شود، این وابستگی گاهی آن قدر شدید است که «ضرورت» دارد دعاوی در همه مراحل دادرسی با یکدیگر و به عنوان یک کل مورد رسیدگی قرار گیرند و تجزیه آن ها کابوس تعارض آراء و عدم امکان اجرای آرای متعارض را پیش می آورد. بی توجهی به این مسئله هنگامی که راهکارهای نظام حقوقی یک کشور برای کاهش صدور آرای متعارض و یا در صورت صدور، راهکارهای الغای یک رای، ناقص و ناکارآمد باشد تا حد بحران دادرسی و جلوه یافتن دستگاه قضایی به عنوان معضل پیش می رود. از همین رو، لازم است به مطالعه دقیق این پرسش پرداخته شود که اگر یکی از دعاوی مرتبط قابل شکایت و دیگری غیرقابل شکایت باشد، این شکایت موجب سرایت به رای غیرقابل شکایت دعوای دیگر هم می شود یا خیر؟ در فرانسه ماده 39 ق.آ.د.م در دعاوی طاری به این مسئله پاسخ مثبت داده است و در سایر دعاوی مرتبط از طریق تجزیه ناپذیری دعاوی مسئله را حل کرده اند. قانون ایران دراین باره ساکت است و به نظر می رسد در صورت «ارتباط کامل»، دعاوی در مراحل بعدی دادرسی، غیرقابل تجزیه هستند و الزام قانونی برای «رسیدگی هم زمان» به پرونده های مرتبط، شامل همه مراحل دادرسی می شود. لذا شکایت از یک رای بر رای دیگر نیز اثر می گذارد.

    از سال 1971 میلادی و با انتشار کتاب «نظریه ای در باب عدالت» توسط جان راولز، دیدگاه وی در خصوص عدالت و نحوه اجرای آن در صدر مهم ترین نظریه های مطرح شده در قرن بیستم قرار گرفته است. در دومین اصل عدالت راولز که آن را اصل تمایز می خوانند، بر مفاهیمی همچون برقراری عدالت توزیعی و باز توزیعی، عدالت ماهوی، ایجاد نابرابری به نفع نابرخوردارها و تضمین رفاه اجتماعی برای همگان تاکید می شود. از آنجا که عرصه مسئولیت مدنی نمی تواند نسبت به تحولات ایجاد شده در مفهوم عدالت و نحوه برقراری آن در اجتماع ساکن و بی تفاوت باشد، در این مقاله کوشش شده تا ویژگی های عدالت مطلوب در ماده اول قانون مسئولیت مدنی ایران در چارچوب نظریه عدالت راولز مورد تحلیل و بررسی قرار گیرد. از آنجا که ماده مزبور نقش مهمی در صورت بندی قواعد مسئولیت مدنی در نظام حقوقی کشور دارد، به نظر می رسد مورد مناسبی برای بررسی و مقایسه با جدیدترین نظریات فلسفی پیرامون عدالت باشد. از نظر نویسندگان، این ماده دارای ویژگی هایی نظیر پیروی از صورت گرایی حقوقی، توجه به عدالت صوری(در برابر عدالت ماهوی) و تمرکز بر عدالت اصلاحی(در برابر عدالت توزیعی و باز توزیعی) است که باعث می شود تفاوت های بارزی با تلقی جان راولز از برقراری عدالت در اجتماع داشته باشد.

    ادغام میان بنگاه‏ها همواره مورد حساسیت مراجع رقابتی بوده است که کوشیده اند به طرق مختلف مانع از بروز رویه های مخل رقابت به واسطه آن ها شوند. یکی از کارآمدترین شیوه ها در این زمینه، ترسیم سازوکاری برای ارزیابی ادغام های پیشنهادی پیش از نهایی شدن آن ها و نیل به یک نقطه توازن در تایید مشروعیت ادغام ها از طریق کاربست ضمانت اجراهای ساختاری و رفتاری است. در گستره مالکیت های فکری نیز تدابیر یادشده در پرتو ملاحظات خاص این حوزه، به مدد مراجع رقابتی می آیند تا ضمن تعدیل ادغام ها در دوره انتظار، مجال بهره گیری از ظرفیت های ادغام در بهبود جریان نوآوری و توسعه تکنولوژیک فراهم شود. نوشتار حاضر می کوشد تا با واکاوی راهکارهای مطروحه در حقوق آمریکا و اتحادیه اروپا، به بررسی اقسام ضمانت اجراهایی بپردازد که مسیر اعتباربخشی به ادغام ها را هموار ساخته کارایی، چالش ها و تحولات آن ها را در بستر خاص مالکیت های فکری تبیین می‏نماید. همچنین این پژوهش درصدد ارائه تفسیری از موازین قانونی موجود در حقوق ایران است تا فرایند تایید مشروط رقابتی ادغام ها را توجیه و نظام مند کند. باوجوداین، حاصل مطالعه تطبیقی به روشنی گویای کاستی های عمیق و عدم توجه به بایسته های مالکیت های فکری در قواعد مربوط به اعتباربخشی رقابتی به ادغام ها در حقوق ایران است.

    با توجه به ضرورت اقدام حقوقی در جهت حمایت از دانش و طب سنتی، در عرصه بین المللی تلاش هایی در جهت جلوگیری از استفاده غیرمجاز و تثبیت مالکیت کشورها بر این دانش صورت پذیرفته است. یک از کلیدی ترین و درعین حال چالش برانگیزترین سازوکارهای پیشنهادی الزامات افشا است بر اساس این پیشنهاد، متقاضیان ثبت اختراع باید در صورت استفاده از دانش سنتی و بومی در ابداعاتشان، نام تامین کننده و منشائی که از طریق آن به دانش دست یافته اند را افشا کنند و گواهی دال بر اجازه برای چنین استفاده ای و تعیین نحوه تقسیم عادلانه منافع را ارائه کنند. پرسشی که این مقاله درصدد بررسی آن خواهد بود این است که الزامات افشا تا چه اندازه می توانند حمایت موثر از دانش و طب سنتی را فراهم آورد و با سرقت زیستی مقابله کند؟ همچنین، با توجه به پیشنهاد کشورهای درحال توسعه برای درج الزامات افشا از طریق موافقت نامه راجع به جنبه های مرتبط با تجارت حقوق مالکیت فکری و سند بین المللی حمایت از دانش سنتی در سازمان جهانی مالکیت فکری، این مقاله در ادامه به بررسی فرایند و چالش های پیش رو تصویب این پیشنهاد در این اسناد می پردازد.

    ازآنجاکه نقص شکلی دادخواست در حقوق ایران و فرانسه، نقصی قابل رفع تلقی می‏شود، نفع خواهان همواره در آن است که تمام اسباب بی‏اعتباری دعوی را نقص شکلی دادخواست معرفی کند. در مقابل، نفع خوانده در این است که نقایص دادخواست غیرقابل رفع تلقی شود و دعوی، بدون اینکه امکان رفع نقص برای خواهان وجود داشته باشد، بلافاصله محکوم به رد شود. گرایش رویه قضایی به سوی هریک از این منافع معارض باعث برهم خوردن تعادل نظام دادرسی مدنی خواهد شد؛ اما تردید رویه قضایی در تمیز مصادیق شکلی نقص دادخواست، لطمه ای بیش از توسل افراطی به هریک از این دو رویکرد درپی دارد. این تردید قابلیت پیش بینی دعاوی را در نظام قضایی ایران مخدوش کرده است. نقایصی که خواهان قابل رفع تلقی می کند، سبب رد بلافاصله دعوی شده و امید به عدم پذیرش دعوی توسط دادگاه، احتمال تسلیم بدهکاران به حکم دادگاه یا مصالحه با طرف را کاهش می دهد. در این مقاله سعی خواهد شد تا ضمن تمیز مصادیق نقص شکلی دادخواست از اسباب نقص ماهوی آن و موارد صدور قرار عدم استماع دعوی، در هر مورد راه حلی ارائه شود؛ اما هدف اصلی در این مقاله، معرفی و تشریح رویکردهای معارض در رویه قضایی است.

    استانداردهای مقرر در موافقت نامه جنبه های تجاری حقوق مالکیت فکری، عمدتا برمبنای فایده گرایی و با توجه به ملاحظات اقتصادی، به تصویب رسیده اند. مبنایی که در ادبیات فلسفی، به دلیل محور قرار دادن یک ارزش خاص، به عنوان «وحدت گرایی ارزشی» شناخته می شود. این در حالی است که در نظام بین المللی حقوق مالکیت فکری و در میان جوامع مجری آن به ویژه در کشورهای درحال توسعه، ارزش های دیگری همچون حفظ حریم خصوصی اشخاص و یا عدالت و انصاف نیز به یک درجه از اعتبار خودنمایی می کنند. حقیقتی که به کثرت گرایی ارزشی می انجامد و ازنظر فلسفی، در سطح بین المللی به ویژه در چارچوب موافقت نامه تریپس، مبنایی برای حمایت حقوق مالکیت فکری از دانش سنتی، نمودهای فرهنگ عامه و منابع ژنتیک فراهم می کند. در این مقاله، ابتدا دیدگاه های موجود در خصوص کثرت گرایی و وحدت گرایی ارزشی بیان می شود و سپس دلایل توجیه کننده لزوم کثرت گرایی در نظام بین المللی حقوق مالکیت فکری به ویژه در رابطه با حمایت از منابع ژنتیک، دانش سنتی و نمودهای فرهنگ عامه تشریح می شود و درنهایت به منظور فراهم کردن زمینه اجرای این نظریه، شاخص هایی برای اجرای آن در عمل پیشنهاد می شود.

    امروزه گسترش قراردادهایی که در آن ها یکی از طرفین از موضع برتری نسبت به طرف دیگر برخوردار است، به شخصی که در موقعیت برتر قرار دارد این امکان را می دهد که شروطی را در قرارداد بگنجاند که نسبت به طرف مقابل قرارداد ناعادلانه است. این امر قانون گذاران برخی کشورها را بر آن داشته تا قوانینی در جهت مقابله با این شروط غیرمنصفانه وضع کنند. در این مقاله بر آنیم تا با بررسی مفهوم و مبانی مقابله با شروط غیرمنصفانه در حقوق های فوق، جایگاه مقابله با شروط غیرمنصفانه در نظام حقوقی ایران را بررسی کنیم. برای این منظور باید دید که از یک سو در حقوق ایران موضع قواعد عمومی قراردادها نسبت به شروط غیرمنصفانه چگونه است و از سوی دیگر موضع قوانین خاص به خصوص قوانینی که جهت حمایت از مصرف کننده وضع گردیده اند نسبت به این شروط چیست. به نظر می رسد در حقوق ایران در کنار پاره ای از قواعد عمومی قراردادها، مثل آنچه در باب خیار غبن آمده و تا حدودی برای تضمین تعادل عوضین در قراردادهای معوض قابل استفاده است، برخی قوانین خاص نیز به مسئله شروط غیرمنصفانه پرداخته اند، اما وضع قوانین و مقررات کارآمدتر به منظور حمایت از مصرف کننده در برابر شروط مذکور، ضروری است.

    در نظام حقوق قراردادها، قاعده کلی اجرای قرارداد در موعد مقرر است و هرگونه انحراف از چنین قاعده ای چه با تاخیر یا عدم اجرای آن، با واکنش سخت قانون گذار مواجه شده و همین امر قانون گذار رابرآن داشته تادرپاسداشت این قاعده کلی، دست به تاسیس ضمانت اجراهایی بزند. به موازات این قاعده کلی، امکان دارد تحت شرایطی، متعهد زودتر از موعد مقرر به اجرای تعهد اقدام کند که از آن به اجرای زودهنگام تعبیر می شود و همه تردید ها ازاینجا شروع می شود که در صورت تعیین زمانی برای اجرای تعهد، آیا متعهد می تواند قبل از موعد مقرر، اقدام به اجرای زودهنگام تعهد نماید؟ برخلاف قوانین برخی از کشورها که موضع روشنی دراین باره دارند، در مقررات قانونی ایران، اجرای زودهنگام تعهد، برخلاف تاخیر اجرای آن، موردتوجه قرار نگرفته است. در آثار حقوقی نیز چندان سابقه تحلیلی و بررسی موضوع دیده نمی شود، اما این موضوع در فقه موردمطالعه قرارگرفته و دیدگاه های متفاوتی در خصوص آن ارائه شده است. لذا تحلیل و بررسی بیشتر فقهی و حقوقی موضوع، بامطالعه تطبیقی در اسناد بین المللی و درنتیجه، ارائه پیشنهادی درراستای الگو گیری قانون گذاری آینده در قالب الحاق ماده ای به قانون مدنی در مبحث وفای به عهد، موردنظر ماست.

    بند پ ماده 1 قانون بیمه اجباری خسارات وارد شده به شخص ثالث در اثر حوادث ناشی از وسایل نقلیه مصوب 1395، هرگونه سانحه ناشی از وسایل نقلیه در اثر حوادث غیرمترقبه را تحت شمول قانون قرار داده است. حادثه غیرمترقبه عموما معادل قوه قاهره (فورس ماژور) قلمداد می شود با وجود این، چنین مفهومی از حادثه غیرمترقبه با بسیاری از مواد قانون بیمه اجباری سازگار به نظر نمی رسد. از این رو، این پرسش مطرح می شود که «حادثه غیر مترقبه» در قانون بیمه اجباری چه معنایی دارد و اثر آن چیست؟
    بررسی نوشته های حقوقی نشان می دهد که بنا بر نظر برخی از حقوقدانان فرانسوی، قوه قاهره (Force Majeure) و حادثه غیرمترقبه (Cas Fortuit)، دارای معنایی متفاوت می باشند اما در نوشته های حقوقی ما، چنین تفکیک مفهومی، بحثی لغوی دانسته شده و هر دو مورد، تحت عنوان قوه قاهره به معنای عام مورد بررسی قرار گرفته است. با این وجود، در قانون بیمه اجباری مصوب 1395، خسارات ناشی از حادثه غیرمترقبه که عامل غیرمنتظره داخلی است، تحت شمول قانون قرار می گیرد درحالی که فورس ماژور که ناظر به رویداد غیرمنتظره بیرونی است، تحت پوشش حمایتی قانونگذار قرار ندارد.

    در گذشته حمایت از حقوق مولف یک حمایت حداقلی بود و نقض حقوق مولف تنها
    بهعنوان یک خطای مدنی در نظر گرفته میشد و مسائل تعارض قوانین صرفا بارویکرد
    سرزمینی به حقوق مالکیت فکری و با توجه به اصل رفتار ملی حلوفصل میشد. باروی کار
    آمدن اینترنت امکان دسترسی و استفاده از حقوق مولف بهگونهای غیرقابلکنترل تسریع و
    تسهیل شد و امکان استفاده فرامرزی از حقوق مولف نیز با ورود عنصر خارجی موجب
    پیچیدگی هرچه بیشتر این دعاوی شد. نقض فراگیر حقوق مولف نتیجه ی انتشار همزمان
    اطلاعات در بستر اینترنت و در واقع در سراسر جهان است و پدیده ای است که به دلیل
    تازگی چاره ای برای آن اندیشیده نشده است . دو مسئله اساسی قانون حاکم و دادگاه

    In many bilateral investment treaties, the investor is allowed to submit its claim to domestic courts, arbitration or any other agreed tribunals. Offering different options to the investor for the method of dispute resolution could lead to some problems, such as conflicting decisions and ambiguous interpretations. Because of these problems, some states have placed some restrictions upon investors and prohibited them from submitting their claims in different courts or tribunals at the same time. Fork in the road is a specific clause requiring the investor to make a final decision and choose a specific court or tribunal, among all competent courts and tribunals, to submit its claim. Choosing any tribunal prevents other tribunals from having jurisdiction. This article aims to examine international arbitration practice regarding fork in the road clause by focusing on ICSID awards.

    The link of disputes causes procedural dependence and connection between them. The dependence is sometimes so serious that requires to deal with the cases in all phases of proceedings as a whole. Disintegration of the cases makes the most serious problems in term of conflict of rulings and implementation of conflicting rulings. Disregarding this issue will result in some crisis in proceedings and may create problems for judicial system especially where the remedies of judicial system are not effective for reduction of issuing conflicting rulings or- as the case may be- for cancelation of rulings.  Accordingly, it is necessary to consider exactly if one of the concerned cases is justiciable and the other is non-justiciable, whether taking action against a justiciable one may be extended to the other one. In French law, article 39 of the Code of Civil Procedural gives positive answer regarding incidental cases and in the other cases resorted to non-dividablity. In Iranian law, the law is silent and it seems, in the case of "full connection", the cases are dividable in later phases of proceedings. In this regard, the legal obligation for simultaneous proceedings for concerned cases is also applicable to the later phases of proceedings.  The complaint regarding one case, therefore, affects the other case, too.

    Since 1971, and concurrent with the dissemination of John Rawls’s theory of justice, his views on the concept of justice and its execution in the society has been at the forefront of the recent theories in the twentieth century. In the second principle of this theory (called the principle of difference) Rawls focuses on substances such as distributive and redistributive justice, material justice, inequality in favor of the poors and vulnerable deciles and ensuring welfare for all.
    As we do not expect law and specially the branch of civil responsibility to be indifferent to new approaches toward justice, this essay tries to analyze  the first article of the Iranian civil responsibility Act in the context of Rawls’s theory.It is assumed that this article plays an important role in the legal system in this country. From the authors point of view the discussed article contains some characteristics like following legal formalism, centralization on formal justice (vs. material justice) and tendency to execute corrective justice (vs. distributive or redistributive justice). These features lead to obvious differences with Rawls’s considered approach about justice and equity.

    Mergers have always raised competition concerns and competition authorities have tried to prevent anticompetitive practices made through them. One of the most efficient methods is designing a framework to primary evaluation of proposed mergers and striking a balance through the validation of mergers by employing structural and conduct remedies. In IP domain, the mentioned measures in the light of particular matters of such field, come to assist competition authorities in order to modify the mergers in waiting period and provide a proper chance in utilizing the potentials of the mergers in promoting innovation and technology development. By analyzing the solutions proposed by US and EU law, this research aims to examine different types of remedies relevant to proposed mergers and clarify their efficiency, challenges and developments in IP field. This article also tries to regulate and justify the process of validation the proposed mergers subject to some conditions by making an interpretation on existing legal rules contained in Iranian laws.

    Due to the need for legal action to protect traditional knowledge and medicine, efforts to prevent unauthorized use and to consolidate the possession of the owner countries on this knowledge have been made in the international arena. One of the key and most challenging proposed mechanisms for protection of traditional knowledge and medicine is disclosure requirements through the sui generis system of traditional knowledge protection. According to this proposal which targets misappropriation of traditional medicine through patent applications involving the utilization of traditional knowledge, patent applicants would be required to disclose the country providing such resources, and to provide relevant information regarding compliance with prior informed consent and access and fair and equitable benefit.
    The question that this Article tries to examine is to what extent the disclosure requirement could provide effective protection for traditional medicine and prevent biopiracy? Also, as it is proposed that these requirement to be incorporated in TRIPS Agreement within World Trade Organization and draft articles for protection of traditional knowledge in World Intellectual Property Organization, this Article will analyses the process and challenges of both proposals.

    Taking into account the fact that in Iranian and French law, formal defects of petition can be recoverable; the appellant is interested in regarding the cause of nullity as formal one. Conversely, the defendant is interested in considering the cause of nullity as non-formal to render the reject of petition, immediately by the court. Tendency of jurisprudence toward each of these conflicting interests may disorder the balance of Civil Procedure. But hesitancy of jurisprudence in determining the cases of formal nullity is more dangerous than excessive resort to each solution. This hesitancy resulted in non-predictability of the cases in Iranian Jurisprudence. Reject of appeal by the court, without possibility of correction of defects, encourage the debtor to refuse from the compromise with creditor. This Article is an attempt to distinction of formal defects of petition from substantive defects and cases of non-acceptance of litigation. On the other hand, in each case, some suggestions have been rendered. But the fist aim of this Article is to clarify the divergent tendencies in Iranian Jurisprudence in respect of the subject matter of this Article.

    Most theorists of IP law have attempted to justify intellectual property rights in preserving one particular value as a super value. The dominant view is that international IP law aims to maximize economic efficiency through incentivizing creation and reducing searching cost. This view regarded as a major hurdle against recent demand of developing countries to extend IP law system to Traditional Knowledge, Folklore and Genetic Resources. The protection of these matters could not be justified based upon economic considerations. In fact, it is based upon other values such as justice and fairness. The solution to overcome this hurdle is to believe in Value Pluralism at least at international level. Due to the diversity of the subject matters of IP law, as well as differences in beliefs and values of the host societies and failure of one single theory to justify all aspects of IP law, it is hard to reduce IP law system to one specific value. Instead, there are several values inside the system in which all of them have the same degree of importance and depending on each case, they could be super value. Therefore, it is necessary to find super value case by case and articulate any area of IP law in accordance with that Super value. Judges are also required to interpret the law on the protection of that specific superior value. After explaining the concept of pluralism of values and value monism, this article argues in support of pluralism of value in the field of intellectual property rights .In order to choose a super value in each case, two criteria will be provided.

    Nowadays, the increase in using the contracts in which one party has a stronger position against the weaker party provides the stronger party a possibility to insert some unfair terms in contract. In recent years, some countries have tried to enact some legislation to protect the weaker party against such terms.  This Article examines comparatively regulations on unfair contract terms in EU in order to consider its historical development, what an unfair contract term is and why the weaker party should be protected against such terms. General contract rules and some special protective Acts that have been adopted in recent years in Iranian law arises the question of how the protection of weaker party considers, especially consumers, against unfair contract terms. Our view is that although general rules and special acts, to some extent, protect the weaker party against unfair terms, it is necessary to enact new protective Acts for the purpose of full protection of consumers against these terms .

    In contract law, general rule is that contractual obligation must be fulfilled in due date. Any breach of this rule either as a result of a delay or the lack of its implementation requires compensation. Undoubtedly, the time of contract performance is among the factors that has a direct effect on the parties’ liability. Therefore, the obligation must be met in due date within the definite period.  However, there is a possibility that under some circumstances, the performance occurs earlier than due date which is interpreted as an early performance. The question is whether it is possible to perform before the due date. Although some countries have a clear legal position in this regard, Iranian law does not consider early performance. This subject has not discussed by lawyer and academics either. On the other hand, this issue has been dealt with by jurisprudence, and different views have been expressed. There is no stipulated valuation in Iranian Law, we suggest that this issue should be considered in the Civil Code.

    Section (c) of Article 1 of compulsory insurance act of 2016, put under the law any accident caused by vehicles due to fortuitous events. In legal writings generally fortuitous events considered as force majeure, but this notion of fortuitous events with a lot of compulsory insurance act articles does not seem compatible. Hence, the question arises that "fortuitous events" in the compulsory insurance law, what does it mean and what is its impact? Review of legal writings show that, according to some French lawyers, Force Majeure and Fortuitous Event (Cas Fortuit), have different meaning but, in the writings of our law, such a conceptual distinction was known verbal argument and both, has studied as Force Majeure in general meaning. However, the use of such distinction between force majeure and fortuitous event is very revealing for unambiguous interpretation of compulsory insurance act of 2016. In order to illustrate the effect of this distinction, in the first part of this article, the concept of fortuitous event in general and specific and deficiencies of application of this concept is analyzed, so that in the second part, concept of fortuitous event and its effect is considered in the compulsory insurance act.

    In the past, the protection of copyright was minimal, and the infringement of the copyright was regarded only as a tort. Conflict of law issues were resolved solely by the territorial approach to intellectual property rights and in accordance with the principle of national treatment. With the advent of the Internet, the availability and use of copyright were uncontrollably accelerated and facilitated, and the possibility of using cross-border copyright as well as the entry of the foreign element caused the complexity of these claims.The ubiquitous infringment of copy right is the result of broadcasting information on the internet and indeed in world that there is no solution for it in existing documents because of its novelty.The two fundamental issues of the governing law and the competent court in this article are aimed at responding to the efficiency or ineffectiveness of the common conflict of law system by studying the provisions of the Berne Convention as the most important document, the Brussels Convention and the ALI and the CLIP principles (as non-binding principles), and it was concluded that The traditional  system of conflict of laws is not enough for this purpose and doesn’t respond the copyright lawsuits and  so we requires a special conflict of law  system.
