    در بیع یا رهن بودن بیع الخیار اختلاف‌نظر است. فقهای امامیه آن را صحیح و ماهیت آن را بیع دانسته‌اند. فقهای اهلش تسنن از بیع الخیار به بیع الوفا یادکرده و آن را رهن تلقی کرده‌اند. بیع شرط به دو صورت قابل‌تحلیل است: نخست بیع شرطی که در روابط بدهکار و طلبکار جاری است (ماده 34 قانون ثبت) و دیگری بیع شرطی که حاکم بر روابط بدهکار و طلبکار نیست، بلکه یک بیع واقعی است و مشمول مواد 458 تا 462 ق.م. می‌شود. بیع شرطی که حاکم بر روابط بدهکار و طلبکار است مصداق معامله با حق استرداد است (ماده 33 قانون ثبت) و به همین جهت است که تقاضای ثبت ملک مورد بیع شرط را حق بدهکار دانسته‌اند، زیرا در این قسم از بیع شرط قصد بایع در حقیقت انعقاد و تشکیل عقد بیع نیست. هرگاه به این ملاک توجه نشود ابهاماتی به وجود می‌آید: اولا اینکه هر بیع شرط معامله با حق استرداد تلقی می‌گردد، درحالی‌که این‌گونه نیست. ثانیا، خیار در بیع شرط واقعی مصداق ماده 399 قانون مدنی است، پس باید تمام بیع‌های موضوع ماده 399 قانون مدنی را معامله با حق استرداد دانست و روشن است که صرف وجود خیار در یک بیع، آن را مصداق معامله با حق استرداد نمی‌کند. مواد 33 و 34 قانون ثبت مخصص ماده 459 ق.م. نیست، زیرا ماده 459 ق.م. بیع شرط حاکم بر روابط بدهکار و بستانکار نیست، اما موضوع مواد 33 و 34 قانون ثبت بیع شرطی است که حاکم بر روابط بدهکار و طلبکار است.

    هرچند در عقد معلق، آثار عقد تنها بعد از حصول شرط تعلیقی ظاهر می‌گردد، اما این مطلب هرگز به این معنا نیست که عقد معلق قبل از حصول شرط تعلیقی فاقد اثر است، بلکه اثر عقد معلق قبل از حصول شرط در عقود تملیکی را می‌توان ایجاد نوعی مالکیت تعلیقی برای خریدار دانست. شاید به دلیل وجود چنین حقی برای متعهدله در عقد معلق (قبل از حصول شرط) بتوان قرارداد معارض با آن را غیر نافذ یا باطل دانست، اما با بررسی ادله هریک از سه قول بطلان، عدم نفوذ و صحت چنین قراردادهایی می‌توان گفت قرارداد معارض با عقد معلق صحیح می‌باشد. این به معنای نادیده گرفتن حق متعهدله در عقد معلق نیست بلکه به‌موجب قرارداد معارض مورد معامله به همراه حق عینی خریدار در عقد معلق به متعهدله قرارداد معارض منتقل خواهد شد. البته برای تعیین سرنوشت نهایی قرارداد معارض باید منتظر وضعیت نهایی شرط تعلیقی ماند. در صورت عدم حصول آن حق عینی خریدار در عقد معلق بر روی مورد معامله از بین می‌رود و در صورت حصول آن باید دید آثار عقد معلق از چه زمانی بر آن بار می‌شود و میان ناقلیت و کاشفیت حصول معلق علیه تمایز قایل شد.

    قاعده «کل شی لا یعلم الا من قبل مدعیه یسمع قوله فیه» که به اختصار قاعده «ما لایعلم» گفته می‌شود، از جمله قواعد فقهی است که در هنگام طرح بعضی دعاوی با شرایط خاص به کار می‌آید و باعث حل دعاوی مختص به خود می‌شود.
    موضوع برخی از دعاوی به علت مخفی بودن، برای کسی جز شخص مدعی قابل اطلاع نیست، لذا ارایه دلیل در دادگاه برای این موضوعات ممکن نیست. قاعده مذکور در این‌گونه دعاوی به‌کارآمده و راه‌حل این دعاوی را در پذیرش سخن مدعی بدون درخواست دلیل از او می‌داند. این قاعده بنا بر مستندات مختلفی که دارد، قاعده‌ای است ثابت‌شده که مورد استناد اهل‌بیت (علیهم‌السلام) و فقهای اسلام بوده و در کتب مختلف فقهی به آن اشاره‌شده است.
    کاربردهای مختلف این قاعده را می‌توان در ابواب مختلف حقوق مدنی و کیفری مشاهده کرد. به‌عنوان‌مثال، قاعده مذکور در حقوق مدنی در باب نکاح، امور مختص به زنان مثل عادت ماهانه، در بحث پرداخت دیون متعدد و در حقوق کیفری و در بحث عدم اثبات زنا، تاثیرگذار می‌باشد.

    قرارداد انتقال بازیکن حرفه‌ای مهم‌ترین قرارداد در حوزه ورزش فوتبال است. به‌موجب این قرارداد بازیکن متعهد است در مدت معین برای باشگاه معین در مقابل مبلغ مشخص بازی کند. انعقاد و انحلال این قرارداد تابع مقررات بین‌المللی و داخلی ویژه‌ای است که متمایز از شرایط عمومی سایر قراردادهاست. این قرارداد مانند قرارداد اجاره اشخاص، قرارداد عهدی است و پس از امضای طرفین لازم می‌شود. طرفین قرارداد، بازیکن حرفه‌ای و باشگاه ورزشی فوتبال هستند که مطابق قواعد عمومی باید دارای اهلیت قانونی برای تنظیم قرارداد باشند. این قرارداد الزام‌آور است و جز با توافق دو طرف یا به‌موجب دلیل موجه قابل‌فسخ نیست. هم‌چنین طرفین می‌بایست در اجرای قرارداد حسن نیت داشته باشند. در این نوشته ابتدا ماهیت قرارداد در حقوق ایران و سپس شرایط اعتبار این قرارداد در مقررات داخلی و بین‌المللی بررسی خواهد شد.

    توجه به ورشکستگی بانک‌ها و تاثیرات بسیار منفی آن در اقتصاد کشور، از بحران بزرگ اقتصادی که در سال 1929 در امریکا شروع شد و پس‌ازآن به تمام دنیا سرایت کرد، آغاز شد و قانون‌گذاران به این نتیجه رسیدند که مقررات عام ورشکستگی شرکت‌های تجاری برای رسیدگی به ورشکستگی بانک‌ها (که شرکت تجاری محسوب می‌شوند) کفایت نمی‌کند. بر این اساس، در ایالات‌متحده امریکا سعی شده است با توجه به نقش بانک‌ها در اقتصاد کشور و تفاوت‌هایی که با سایر شرکت‌های تجاری دارند، مقررات خاصی برای ورشکستگی آن‌ها در نظر بگیرند. در این کشور نظام حقوقی حاکم بر ورشکستگی بانک‌ها به «Resolution Regime» معروف است که به «گزیر یا حل‌وفصل» ترجمه‌شده است. مهم‌ترین اهداف این نظام عبارت‌اند از پیشگیری از اختلال‌های زنجیره‌ای در نظام مالی کشور، ادامه یافتن خدمات کلیدی بانک‌ها و عدم تحمیل عواقب ورشکستگی این بنگاه‌ها بر دولت و مودیان مالیاتی.
    در حقوق ایران نظام ورشکستگی بانک‌ها به‌طور کامل از نظام ورشکستگی شرکت‌ها جدا نیست و درصورتی‌که بانکی ورشکست گردد، مقررات قانون تجارت درزمینه ورشکستگی مقررات عام و سایر مقررات پولی و بانکی خاص محسوب می‌شوند؛ و درنتیجه، در صورت سکوت مقررات خاص، مقررات عام قانون تجارت درزمینه ورشکستگی اعمال می‌گردند. در حقوق امریکا تصفیه، آخرین روش برخورد با بانک ورشکسته است، درحالی‌که در حقوق فعلی ایران با توجه به اینکه روش جایگزینی برای تصفیه وجود ندارد، به‌محض صدور حکم ورشکستگی، بانک وارد فرآیند تصفیه می‌شود.

    حق تقدم در پذیره‌نویسی سهام جدید شرکت همان حق اولویت سهام‌داران قبلی است که واجد ماهیت حقوقی خاص است. منبع حق تقدم در حقوق ایران، قانون و در حقوق امریکا، اساسنامه است. در حقوق این دو کشور حق تقدم، حق مالی قابل نقل‌وانتقال است. انتقال این حق در بورس یا خارج از آن صورت می‌گیرد و تابع محدودیت‌های سهام‌داران در انتقال سهم خود است. حق تقدم مشابه اموال منقول نزد ثالث توقیف می‌گردد و بدون تشریفات توقیف و مزایده فورا و با تصویب دادگاه به فروش می‌رسد. در حقوق ایران حق تقدم از قواعد آمره و از حقوق غیرقابل القای شرکای سابق است و مطابق اساسنامه نمی‌توان آنان را از این حق محروم کرد بلکه سلب حق تقدم تنها در اختیار و صلاحیت مجمع عمومی فوق‌العاده می‌باشد که باید مستدل و موجه و از موارد حادث و غیرقابل‌پیش‌بینی از قبل باشد و در گزارش هیات مدیره و بازرسان شرکت علل و جهات اتخاذ تصمیم منعکس شود؛ اما در حقوق امریکا، حق تقدم یک قاعده تکمیلی است و سهام‌داران در صورتی حق تقدم خواهند داشت که در اساسنامه لحاظ شده باشد. چنانچه در اساسنامه چنین حقی برای سهام‌داران در نظر گرفته نشده باشد آن‌ها به‌موقع افزایش سرمایه و صدور سهام جدید حق تقدم نخواهند داشت مگر اینکه اساسنامه اصلاح شود.

    There is divergence of opinions on contracting or pledging in optional sale. Imamiyah jurists endorse the act and consider it as an instance of sale in nature. Sunni jurists identify optional sale as bay’ al-Wafa or buyback sale, associating it with a pledge (rahn) contract. The conditional sale can be analyzed in two ways: First, the conditional sale involving the contractual relationship between mortgagor (seller) and mortgagee (buyer) stipulated in Article 34 of the Law on Registration of Deeds; Second, the conditional sale that does not govern the contractural relationship between the seller and buyer, and it is a real sale under articles 485-462 of the Law. The conditional sale governing the contractural relationship between the mortgagor and mortgagee is an instance of transaction with the right of restitution (Article 33 of the Law). This is why the law has considered the request for registration of the property in conditional sale as a right for the debtor, because in this type of conditional sale the buyer does not intend to conclude a contract of sale. Any negligence of this criterion will raise ambiguities: First, any conditional sale will be taken as the one with the right of restitution, whereas it is otherwise. Second, the real conditional sale has been well stipulated in Article 399 of the Civil Code; therefore, all sales stipulated in Article 399 of the Civil Code must be considered as the transactions with the right of restitution. It is clear that the existence of the element of option in a sale contract does not mean it is an instance of transaction with the right of restitution. Articles 33 and 34 of the Law on Registration of Deeds are not exclusive to provisions of Article 459, because this article is not about the conditional sale governing the contractual relationship between the mortgagor and mortgagee, whereas articles 33 and 34 of the Law govern such relationship.

    Although in conditional contracts the effects of contract appear after realization of the conditionality of the contract, that does not mean the conditional contract lacks its effects before realization of the conditionality. Therefore, in alienative contracts, the effect of conditional contract before meeting its conditions shall be attributed to the buyer as a sort of conditional ownership. Perhaps it is because of such right for the promisee in the conditional contract (before meeting the conditions) that any contract contradicting with it may be pronounced non-effective or void. However, a review of the statements of evidence of each one of the three reasons for nullity, ineffectuality and authenticity of such contracts it can be claimed that any contract contradicting conditional contract is sound and valid. This, however, does not mean ignoring the promisee’s rights in conditional contract; rather, by virtue of the conditional contract, the object of transaction along with the buyer’s legitimate right in conditional contract will be transferred to the promisee as is. Of course, for final decision on the conditional contract, the parties should wait for the final status of the conditionality in the contract. In case of failure to meet the conditions, the real right of the buyer in conditional contract over the object of transaction will be null and void and when the conditions are met, one should see when the effects of the conditional contract will be valid. In the meantime, there should be a distinction between formation and validity of the contract vis-àvis the promisee of the conditional contract.

    The legal principle of “Everything that is known only by claimant will be heard”, briefly known as the “maa laa ya’lam” is among legal principles that helps settlement of certain legal claims. Some cases are known only to the claimant due to confidentiality. Therefore, it is impossible to present evidence at the court for such claims. The legal principle of maa laa ya’lam (transliterated as what he does not know) is used to help resolving the case and the only solution is accepting the claimant’s claim without evidence. According to the related exhibits and evidences, this is a well-proven legal principle that has been invoked by the Infallible Household of the Prophet (pbuh) and Muslim jurists have made frequent mentions of it in their books. Instances of this legal principle’s effectuality can be found in various civil rights and penal codes. For instance, in civil rights, the principle is used in such claims on marriage, menstruation and payment of various dues, and also in penal code, it is used in case of presenting proof of no adultery.

    The transfer contract of professional soccer player is the most important contract in this sport. According to this contract, the player is committed to play for a certain club within a certain period of time for a specified sum of money. Conclusion and termination of this contract are subject to special international and domestic rules and regulations that are quite distinctive from other contracts. Like a person’s hiring contract, this contract is a binding obligation that will be enforceable after signing of the two parties. The contract parties are the professional player and the sports club that must possess capacity to sign a contract. This contract is of binding obligation, thus it shall be only null and void with the consent of the parties or upon a justifiable excuse. Meanwhile, the contract parties should act based on bona fide. In this research work, we will first review the nature of contracts in Iranian law and then proceed with studying conditions for validity of the contract according to the international and domestic rules and regulations.

    It was after the 1929 Great Recession in the United States that the world economy suffered heavy losses and Iranian officials began paying attention to the bankruptcy of the banks and its highly negative impacts on the national economy. Consequently, the lawmakers came to the conclusion that rules and regulations on bankruptcy of the commercial corporations are not sufficient for verifying bankruptcy of the banks – which are considered commercial corporations in kind. On this basis, the United States has tried to consider certain rules and regulations for bankruptcy of banks, thanks to their role in national economy and their differences from the commercial corporations. The bankruptcy code for banks and financial institutions in the United States is called Resolution Regime. It is the government’s legal framework that resolves a failed bank in an orderly way to prevent the collapse of financial markets and the country’s financial system, to continue key services by the banks and to prevent the burden of bankruptcy on the government and taxpayers. In Iranian law, the bankruptcy regime of the banks is not a hundred percent apart from the bankruptcy of the corporations. In case of the bankruptcy of a bank, the Trade Law rules and regulations on bankruptcy will be considered as general rules and other monetary and banking rules and regulations will be particular ones. In case of the silence of the particular laws, the general rules and regulations will be applicable in case of the bankruptcy of the banks. In U.S. law, liquidation is the last step to deal with a bankrupt bank, while in Iranian law - since there is no substitute method for liquidation - the bankrupt bank starts liquidation immediately after receiving the order of bankruptcy.

    The priority in subscription of new shares is the same as priority given to the previous shareholders that is under certain legal procedures and nature. The source of priority in Iranian law is law and articles of association in American law. In both legal systems, priority is a transactable right. The transfer of this right is carried out in the stock market or outside the market and based on restrictions the shareholders face in transfer of their shares. Like movable properties, priority can be attached by the third party and it can be sold on tender without formalities and immediately after the approval of the court. In Iranian law, priority is a peremptory norm and a nonabrogatable right of the former business partners. According to the articles of association, their rights cannot be denied although denying their priority is within the discretion and authority of extraordinary general assembly, which should be well-justified and non-forceable. The procedures must be brought in the reports of the board of directors and the official inspectors for proper decision making. In the United States of America’s law, however, the priority is a complementary principle and the shareholders will enjoy priority in case it has already been mentioned in the articles of association of the bank or financial institutions, otherwise, they will have no priority in subscription for new shares or for capital increase unless the articles of association is amended.
