Abstract:
The purpose of the present research is the comparative study of contract interpretation criteria in Iranian and Egyptian laws. In this regard, efforts have been made to review the existing criteria in the interpretation of the contract and to complete the criteria that are not mentioned in the laws of Egypt and Iran. The research method is descriptive-analytical and the results indicate that, firstly, the internal standard in the interpretation of the contract is the interpretation based on the legal result, the subject of the contract and considering the contract as a whole for the interpretation of the contract, which is based on Imami jurisprudence. And the civil rights of Iran and Egypt, there is no difference in this criterion. Secondly, regarding the external criterion of contract interpretation, such as good faith and interpretation to the disadvantage of the contract adjuster, although there are ambiguities in Iranian law regarding the acceptance of these principles, these criteria can be accepted just like Egyptian law.
